The annual meeting of the stockholders of Upland Software, Inc. was held June 9, 2021, at Upland’s offices at 401 Congress Ave., Ste. 1850, Austin, Texas 78701. At the annual meeting, Upland stockholders voted on three proposals, each of which is described in more detail in Upland’s definitive proxy statement filed with the Securities and Exchange Commission on April 30, 2021. Present at the annual meeting in person or by proxy were holders of shares representing 26,379,013 votes of Upland common stock representing 87.63% of the eligible votes, constituting a quorum.




The stockholders voted on the following items at the annual meeting:




1.To elect two Class I directors;

2. To ratify the appointment of Ernst & Young, LLP as Upland’s independent registered public accounting firm for the fiscal year ending December 31, 2021; and

3. Advisory vote on named executive officer compensation.
