Hudson Executive Investment Corp. II is a blank check company whose business purpose is to effect a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. The Company was co-founded by Hudson Executive Capital LP (HEC), a value-oriented, event-driven investment firm with a focus on small and mid-cap companies, Douglas L. Braunstein, its founder and managing partner, and Douglas G. Bergeron, its managing partner. While the company may pursue an initial business combination in any industry, sector or geographic region that complements the experience of its management team, and it intends to initially focus its search on technology-driven, disruptive companies. Hudson Executive Capital took public its first SPAC, Hudson Executive Investment Corp., which raised $414 million in June 2020 and in January 2021 announced a combination with digital and virtual behavioral healthcare company Talkspace.
