General Information

 

The accompanying unaudited consolidated condensed financial statements have been prepared in accordance with the rules and regulations of the Securities and Exchange Commission and therefore do not include all information and footnotes necessary for a fair presentation of financial position, results of operations and cash flows in conformity with accounting principles generally accepted in the U.S. However, in the opinion of Briggs & Stratton Corporation, adequate disclosures have been presented to make the information not misleading, and all adjustments necessary to present fair statements of the results of operations and financial position have been included. All of these adjustments are of a normal recurring nature. These consolidated condensed financial statements should be read in conjunction with the financial statements and the notes thereto which were included in our latest Annual Report on Form 10-K.

On August 4, 2004, Briggs & Stratton’s board approved a two-for-one stock split of its common stock, which became effective on October 29, 2004 upon shareholder approval of the amendment to the Briggs & Stratton Corporation Articles of Incorporation. The stock split was payable on November 9, 2004 to shareholders of record as of October 29, 2004. The split was in the form of a stock dividend, with shareholders receiving an additional share for each existing share held. All references in the Consolidated Condensed Financial Statements to the number of common shares and related per share amounts reflect the effect of the stock split.

 

Briggs & Stratton purchased 753,500 shares at a total cost of $26.6 million during the three months ended April 2, 2006. There were no share repurchases made during fiscal 2005. The timing and amount of future purchases will be dependent upon the market price of the stock and certain governing loan covenants.

Accounts Receivable

 

During the first quarter of fiscal 2005, accounts receivable includedof $39 million from Murray, Inc., a major original equipment manufacturer.  Based on information available at that time, the company assessed the account was not fully collectible and believed a $10 million reserve was sufficient to cover the estimated loss.  Accordingly, an additional allowance for doubtful accounts of $10 million was recorded in the first quarter of fiscal 2005.  Subsequent to the first quarter of fiscal 2005,manufacturer, were written-off. Murray Inc. filed for bankruptcy protection, resulting in the write-off of the remaining $29 million in the second quarter of fiscal 2005.and Briggs & Stratton determined that these amounts were not collectible.

 

Earnings Per Share

 

Basic earnings per share, for each period presented, is computed by dividing net income by the weighted average number of shares of common stock outstanding during the period. Diluted earnings per share, for each period presented, is computed reflecting the potential dilution that would occur if options or other contracts to issue common stock were exercised or converted into common stock at the beginning of the period.

 

Shares outstanding used to compute diluted earnings per share for the quarter and sixnine month periodperiods ended January 1,April 2, 2006 excluded weighted average outstanding options to purchase approximately 1,504,0001,434,000 and 1,422,0001,380,000 shares of common stock, respectively.  The impact of such common stock equivalents was excluded from the calculation of net income per share on a diluted basis as their effect is anti-dilutive. In the prior fiscal year, no shares were excluded from the computation of diluted earnings per share for the secondthird quarter and sixnine month periods.

Derivatives

 

Derivatives are recorded on the balance sheet as assets or liabilities, measured at fair value. Briggs & Stratton enters into derivative contracts designated as cash flow hedges to manage its foreign currency exposures. These instruments generally do not have a maturity of more than twelve months.

 

Changes in the fair value of cash flow hedges are recorded on the Consolidated Condensed Statements of Income or as a component of Accumulated Other Comprehensive Income (Loss). The amounts included in Accumulated Other Comprehensive Income (Loss) will be reclassified into income when the forecasted transactions occur, generally within the next twelve months. These forecasted transactions represent the exporting of products for which Briggs & Stratton will receive foreign currency and the importing of products for which it will be required to pay in a foreign currency. Changes in the fair value of all derivatives deemed to be ineffective are recorded as either income or expense in the accompanying Consolidated Condensed Statements of Income.

 

Briggs & Stratton manages its exposure to fluctuation in the cost of natural gas used by its operating facilities through participation in a third party managed dollar cost averaging program linked to NYMEX futures. As a participant in the program, Briggs & Stratton hedges a minimum of 50% of its anticipated monthly natural gas usage along with a pool of other companies. Briggs & Stratton does not hold any actual futures contracts and actual delivery of natural gas is not required of the participants in the program. Cash settlements occur on a monthly basis based on the difference between the average dollar price of the underlying NYMEX futures held by the third party and the actual price of natural gas paid by Briggs & Stratton in the period. The fair value of the underlying NYMEX futures is reflected as an asset or liability on the accompanying Consolidated Condensed Balance Sheets. Changes in fair value are reflected as a Component of Accumulated Other Comprehensive Income (Loss), which are reclassified into the income statement as the monthly cash settlements occur and actual natural gas is consumed.

 

Reduction in Force

Briggs & Stratton recorded an expense of approximately $3.7 million associated with a worldwide employee reduction during the quarter ended April 2, 2006. The amount recorded represents expected expenditures for severance and other related employee separation costs associated with the reduction. As of the quarter ended April 2, 2006, a reserve of $2.3 million remained.

Stock Incentives

 

The Company had a Stock Incentive Plan under which 5,361,935 shares of common stock were reserved for issuance.  Effective October 20, 2004, the CompanyBriggs & Stratton adopted an Incentive Compensation Plan under which 4,000,000 shares of common stock (8,000,000 shares as a result of the 2-for-1 stock split) were reserved for future issuance. Briggs & Stratton previously had a Stock Incentive Plan under which 5,361,935 shares of common stock were reserved for issuance. The adoption of thisthe Incentive Compensation Plan reduced the number of shares available for future issuance under the Stock Incentive Plan to zero. However, as of January 1,April 2, 2006, and July 3, 2005, there were 3,002,7882,751,556 and 3,092,168 outstanding option and restricted stock awards granted under the Stock Incentive Plan, respectively, that are or may become exercisable in the future. In accordance with both plans, the CompanyBriggs & Stratton can issue eligible employees stock options, stock appreciation rights, restricted stock, deferred stock and cash bonus awards subject to certain annual limitations. The plans also allow the CompanyBriggs & Stratton to issue directorsDirectors non-qualified stock options and directors’ fees in stock.

 

Effective July 4, 2005, Briggs & Stratton’s Incentive Compensation Plan isand shares issued under the Stock Incentive Plan are accounted for under Statement of Financial Accounting Standards (“SFAS”) No. 123R, “Share Based Payment”. During the quarter and nine months ended January 1,April 2, 2006, the CompanyBriggs & Stratton recognized approximately $1.9 million in stock option compensation expense of approximately $1.9 million and approximately $3.8$5.7 million, during the six months ended January 1, 2006.respectively. Prior to July 4, 2005, the plan wasplans were accounted for according to Accounting Principles Board Opinion No. 25, “Accounting for Stock Issued to Employees”. Thus, no compensation cost was recognized prior to fiscal year 2006. Under the plans, the CompanyBriggs & Stratton has issued restricted stock to certain employees. During the sixnine months ended January 1,April 2, 2006, the CompanyBriggs & Stratton issued 38,57440,574 shares. During fiscal year 2005, the CompanyBriggs & Stratton issued 26,000 shares. The restricted stock vests on the fifth anniversary date of issue provided that the recipient is still employed by the Company.Briggs & Stratton. The aggregate market value on the date of issue of $1.3$1.4 million during the sixnine months ended January 1,April 2, 2006 and $1.0 million in fiscal 2005 has been recorded as unearned compensation,Unearned Compensation, a separate component of the Shareholders’ Investment section of the Consolidated Balance Sheets, and is being amortized over the five-year vesting period.

 

Under the plans, the CompanyBriggs & Stratton may also issue stock to its directors in lieu of directors’ fees. The CompanyBriggs & Stratton has issued 2,8003,477 and 3,463 shares during the sixnine months ended January 1,April 2, 2006 and the twelve months ended July 3, 2005, respectively.

Under the Incentive Compensation Plan, the CompanyBriggs & Stratton may also issue deferred stock to its officers and key employees. Under this provision, the CompanyBriggs & Stratton issued 24,90527,905 and 1,000 shares during the sixnine months ended January 1,April 2, 2006 and the twelve months ended July 3, 2005, respectively. The aggregate market value on the date of issue was $871,000$990,000 and $34,000 for the sixnine months ended January 1,April 2, 2006 and the twelve months ended July 3, 2005, respectively. Expense is recognized ratably over the five-year vesting period.

There were no contributions made to the plan for the quarters ended January 1,April 2, 2006 and December 26, 2004.March 27, 2005. Briggs & Stratton is not required to make any contributions to the pension plans in fiscal 2006.

 

Estimated Benefit Payments:

 

Briggs & Stratton expects to make benefit payments of approximately $1.6 million for its non-qualified pension plan during fiscal 2006. As of January 1,April 2, 2006, Briggs & Stratton had made payments of approximately $0.9$1.3 million. Briggs & Stratton anticipates benefit payments of approximately $27.3 million for its other postretirement benefit plans during fiscal 2006. As of January 1,April 2, 2006, Briggs & Stratton had made payments of approximately $14.4$21.4 million.

Commitments and Contingencies

 

Briggs & Stratton is subject to various unresolved legal actions that arise in the normal course of its business. These actions typically relate to product liability (including asbestos-related liability), patent and trademark matters, and disputes with customers, suppliers, distributors and dealers, competitors and employees.

On January 14, 2005, the CompanyBriggs & Stratton filed a lawsuit against Kohler Co. (Briggs & Stratton Corporation v. Kohler Co., No 05-C-0025-C (U.S. District Court, Western District of Wisconsin)) alleging Kohler’s single-cylinder Courage engine infringes two of the Company’sBriggs & Stratton’s U.S. patents. Kohler filed counterclaims against the CompanyBriggs & Stratton on April 15, 2005, alleging that the Company’sBriggs & Stratton’s pricing and contracting practices violate federal antitrust laws and related state laws. The Company’sBriggs & Stratton’s infringement claims are scheduled for trialwere tried before a jury in February 2006,2006. The jury found that the Kohler engine infringes one of Briggs & Stratton’s patents but the patent is invalid, and Briggs & Stratton and Kohler have each filed motions to overturn the jury verdict. Kohler’s counterclaims are scheduled for trial in September 2006.

 

On June 3, 2004, eight individuals who claim to have purchased lawnmowers in Illinois and Minnesota filed a lawsuit (Ronnie Phillips et al. v. Sears Roebuck Corporation et al., No. 04-L-334 (20th Judicial Circuit, St. Clair County, IL)) against the CompanyBriggs & Stratton and other defendants alleging that the horsepower labels on the products they purchased were inaccurate. The plaintiffs seek certification of a class of all persons in the United States who, beginning January 1, 1995 through the present, purchased a lawnmower containing a two stroke or four stroke gas combustion engine up to 20 horsepower that was manufactured by the defendants. The complaint seeks an injunction, compensatory and punitive damages, and attorneys’ fees. On April 20, 2005, the court issued a stay with respect to this case pending settlement negotiations.

 

Although it is not possible to predict with certainty the outcome of these unresolved legal actions or the range of possible loss, Briggs & Stratton believes these unresolved legal actions will not have a material effect on its financial position. Briggs & Stratton currently does not have enough information to estimate the impact that these matters may have on its future results of operations.

Financial Information of Subsidiary Guarantor of Indebtedness

 

In June 1997, Briggs & Stratton issued $100 million of 7.25% senior notes; in May 2001, the CompanyBriggs & Stratton issued $275 million of 8.875% senior notes; and in February 2005, the CompanyBriggs & Stratton issued $125 million of variable rate term notes. In addition, Briggs & Stratton has a $350 million revolving credit facility that expires in May 2009 that is used to finance seasonal working capital needs.

 

Under the terms of Briggs & Stratton’s 8.875% senior notes, 7.25% senior notes, variable rate term notes, and the revolving credit agreement (collectively, the “Domestic Indebtedness”), Briggs & Stratton Power Products Group, LLC and its wholly owned subsidiary, Simplicity Manufacturing, Inc., are joint and several guarantors of the Domestic Indebtedness (the “Guarantor”). The guarantees are full and unconditional guarantees. Additionally, if at any time a domestic subsidiary of Briggs & Stratton constitutes a significant domestic subsidiary, then such domestic subsidiary will also become a guarantor of the Domestic Indebtedness. Currently, all of the Domestic Indebtedness is unsecured. If Briggs & Stratton were to fail to make a payment of interest or principal on its due date, the Guarantor is obligated to pay the outstanding Domestic Indebtedness. ITEM 2. MANAGEMENT’S DISCUSSION AND ANALYSIS OF FINANCIAL CONDITION AND RESULTS OF OPERATIONS

 

The following is management’s discussion and analysis of Briggs & Stratton’s financial condition and results of operations for the periods included in the accompanying consolidated condensed financial statements:

 

RESULTS OF OPERATIONS

 

SALES

 

Consolidated net sales for the secondthird quarter of fiscal 2006 totaled $574$800 million, an increasea decrease of $70$40 million or 14%5% when compared to fiscal 2005. The increasedecrease is driven by improved sales performance ofattributable to a reduction in Murray related lawn and garden equipment in the Power Products Segment, including the inclusion of $63 million of sales of end product associated with our acquisition of certain assets of Murray, Inc. (“Murray”), which was completed in February of 2005.current year.

 

SecondThird quarter net sales for the EnginesEngine Segment were $381 million versus $375$598 million in fiscal 2005,2006 and $605 million in fiscal 2005. The 1% or $7 million decline is primarily the result of a 6% engine unit shipment decline between years, reflecting a shift of engine unit demand from the third quarter to the second quarter in fiscal 2006. Partially offsetting the unit decline between years was the net impact of improved pricing of $4 million and a mix of engines that favored higher priced units.

Third quarter Power Products Segment net sales were $288 million in fiscal 2006 versus $324 million from the same period a year ago. The $36 million decrease is primarily attributable to a $44 million reduction in Murray related lawn and garden equipment, caused by Murray related product not having as much market placement as it did a year ago. Pressure washer sales were also down $21 million on a slow start to the spring retail season. These declines were partially offset by improved generator and premium lawn and garden sales. Generator sales increased $12 million as retailers began stocking for the upcoming hurricane season.

Consolidated net sales for the nine-months ended April 2, 2006 totaled $1,886 million, an increase of $6$103 million or 2%.6% from the same period in fiscal 2005. The increase resulted from an increaseis primarily attributable to the inclusion of Murray related sales in the first half of fiscal 2006 since Murray assets were acquired in February of fiscal 2005.

Nine-month net sales for the Engine Segment totaled $1,264 million in fiscal 2006 versus $1,234 million in the prior year, a $30 million or 2% improvement. The main drivers for the improvement were a 1% engine unit shipments between quarters resulting in a $13 millionshipment increase in net sales.  The increased volume is attributable to strong demand for generator engines.  This improvement was offset by the impact of an unfavorable Euro exchange rate and a mix of shipments that favored lowerhigher priced engines.

Second quarter Power Products Segment net sales were $257 million versus $169 millionproduct. The current year’s pricing initiatives went into effect late in fiscal 2005.  The $88 million increase was driven primarily by the inclusion of $63 million of sales of Murray end product in the current quarter.  The remainder of the improvement was driven by increased generator and pressure washer unit volume between years.  The generator volume increase reflects continued replenishment of retail inventories that were depleted by the hurricane season.  Pressure washer unit shipments increased between years due to improved retail sell through.  Sales of premium lawn and garden equipment were flat between years.

Consolidated net sales for the first six months of fiscal 2006 totaled $1.086 billion, an increase of $143 million or 15%, compared to the first six months of the prior year.  The entire increase is attributable to the inclusion of sales from the Murray acquisition in the current year.

Six month net sales for the Engines Segment were $666 million in fiscal 2006 versus $629 million in the prior year, a $37 million or 6% improvement.  Engine unit shipments increased 9% between years on the strength of generator demand, resulting in increased sales of $59 million.  Consistent with the second quarter discussion, partially offsetting the volume gains were the impactand, as a result, have less of an unfavorable Euro exchange rate and a negative mix of engines.impact on the nine-month sales.

 

Power Products Segment net sales for the first six monthsnine-months ended April 2, 2006 were $557$845 million versus $391compared to $715 million in the prior year, an increase of $166$130 million or 42%18%. As previously discussed, the increase reflects the increase in Murray related sales in fiscal 2006 totaling $99 million. The inclusion of $143 million ofremaining improvement reflects a 25% increase in generator sales attributable to strong demand earlier in the year from the Murray acquisition was the major driver2005 hurricane season and increased retailer stocking in anticipation of the increase.2006 hurricane season. The remaining increase was driven by increasedin generator shipments offset by lowersales more than offsets the 18% decline in pressure washer and premium lawn and garden equipment sales as retailers and dealers lowered inventory levels.sales.

GROSS PROFIT MARGIN

 

The consolidated gross profit margin in the secondthird quarter decreased from 21% to 20%.  Engines Segment margins increased from 24%20% in fiscal 2005 to 23% in fiscal 2006. The Engine Segment gross profit margin increased from 22% to 25%. CostThe margin improvement is primarily attributable to $12 million from ongoing cost reduction efforts and lower manufacturing spending between years were partially offset byas well as $4 million in favorable pricing between years and the $3 million impact of an unfavorable Euro exchange rate and a favorable mix that favored lowerof larger higher margined engines.engines in the quarter. The Power Products Segment margin was 10% for13% in the secondthird quarter of fiscal 2006, downup from 11% in fiscal 2005. LossesSales of higher margined premium lawn and garden equipment were stronger in the current year, resulting in a larger contribution to the Segment’s margin. In addition, margins on generators improved on increased generator production between years, which more than offset the sale of Murray product reduced the Segment margin by 1% due to expenses associated with winding down operations at the Murray facilities.lower pressure washer production.

 

The consolidated gross profit margin for the six-monthnine-month period decreasedincreased from 19% in fiscal 2005 to 18%20% in fiscal 2006. EnginesEngine Segment margins for the six-monthnine-month period increased from 21%22% in fiscal 2005 to 23%24% in fiscal 2006. The increase is attributable primarily to the benefit of cost reduction programs as well as a $6 million gain on the sale of an operating asset in the first quarter of fiscal 2006. Power Products Segment margins for the six-monthnine-month period decreased from 11% in fiscal 2005 to 8% in fiscal 2006.  Losses10%. The decline is the result of the losses on the sale of Murray product reduced overall segment margins by 2%.  Lower margins on the sale of premium lawn and garden equipmentthat reduced the overall Segment margin by 1%, as the impact of higher interest rates on dealer financing and lower production levels, more than offset the elimination of purchase accounting in the current year.from 11% to 10%.

 

ENGINEERING, SELLING, GENERAL AND ADMINISTRATIVE EXPENSES

 

Engineering, selling, general and administrative expenses were $79$83 million in the secondthird quarter of fiscal 2006 versus $93$68 million in fiscal 2005.  Excluding2005, an increase of $15 million or 22%. The main drivers for the increase were: $3 million from increased legal fees associated with litigation, $4 million charge resulting from a worldwide reduction in salaried headcount in the quarter, $2 million from the expensing of stock options in fiscal 2006, and $2 million in increased information technology consulting costs. The remainder of the increase is attributable to planned increases in salaries, fringe benefits, and advertising.

For the nine-month period ended April 2, 2006, the category increased $42 million compared to the prior year period, not considering the impact of $30$39 million in bad debt expense associated with Murray in the prior year, the category increased $16 million between years. The increase is driven primarily by increased salaries and fringe benefits of $6 million, legal fees of $4 million, and information technology consulting fees of $2 million.  Salaries and fringe benefits reflect increased pension costs and the recognition of expense for the first time in the current year for stock options.

The category increased $27 million, excluding the impact of $39 million in bad debts associated with Murray in the prior year, for the six-month comparative periods.year. The increase is primarily attributable to the same factors identified for the secondthird quarter including salaries and fringe benefitsbenefit increases of $12 million, legal fees of $5$8 million, and information technology consulting of $3 million.$5 million, stock option expense of $6 million, and $4 million of expense reflecting the impact of headcount reductions in the third quarter.

 

INTEREST EXPENSE

 

Interest expense increased $3was $11 million in the secondthird quarter of fiscal 2006 versus the second quarter of$10 million in fiscal 2005. The increase reflectsis attributable to higher borrowings between years associated with the $125 million Term Notes used to financefor the Murray asset acquisition of certain assets of Murray, Inc. in the third quarter of fiscalFebruary 2005. Interest expense increased $4$5 million for the six-monthnine-month comparative periods for the same reason.reason explained for the third quarter.

 

PROVISION FOR INCOME TAXES

 

The effective tax rate used in both the second quarter and six-month period for the currentthird quarter of fiscal year2006 was 35%.  This rate is management’s estimate32% versus 34% in fiscal 2005. The decrease reflects the completion of what the rate will be for the entire 2006 fiscal year based on today’s facts.  Last year’s rate was 34% for the second quarter and the six-month period.  The fiscal 2005 rate was ultimately decreased to 33% for the entire fiscal year.  The increase in the effective tax rate in the current year is attributable to increased earnings expectations, lower dividend income expected in the current year and any related foreign tax credit implications.  The audit for tax years 2000-2002 has progressedthat resulted in the favorable resolution of certain tax contingencies in the third quarter of fiscal 2006. The effective tax rate was 33% for the nine month period in fiscal 2006 versus 34% in fiscal 2005. The decrease is due to the final level of review bysame item identified for the IRS and the Company anticipates that it will be favorably settled during the current fiscal year upon approval by the Joint Committee of Taxation.third quarter.

EXTRAORDINARY GAIN

The extraordinary gain in the third quarter of fiscal 2005 represents the difference between the estimated fair value of the assets acquired from Murray and the cash paid, after all tax considerations. There was no such extraordinary gain in fiscal 2006.

 

LIQUIDITY AND CAPITAL RESOURCES

 

Cash used in operating activities for the six-monthnine-month period of fiscal 2006 was $228$21 million, a decreasean improvement of $6 million.  Lower$9 million from fiscal 2005. Higher earnings excluding the impact of the non-cash extraordinary gain in the prior year more than offset the $10 million increase in working capital requirements is the primary driver for the decrease in cash used from operations.  A reduction in receivablesbetween years. The increased working capital requirements attributable to higher inventory levels associated primarily with increased generators and premium lawn and garden equipment were partially offset by lower receivable levels between years due to the eliminationlower sales of sales to Murray related product in the current year and lower bonus and other accrual payouts offset the impact of increased inventory attributable primarily to the Engines Segment.year.

 

In the six-monthnine-month period of fiscal 2006, we$36 million was used $18 million for investing activities compared to $258$408 million in fiscal 2005. The $240$372 million decrease in use of cash for investing activities is attributable to the $223$350 million acquisitionin cash used for acquisitions of Simplicity Manufacturing, Inc. and certain Murray assets in fiscal 2005, andthe prior year, as well as lower netfixed asset additions in the current year.

 

Net cash provided byused in financing activities was $124$43 million in fiscal 2006, versus $170the $133 million in cash provided by financing activities in fiscal 2005, a decreasenet change of $46$176 million. The decreasechange from financing activities providing cash to using cash is attributable primarily to lower seasonal working capital borrowingsthe $125 million in Term Notes issued to finance the acquisition of the Murray assets in February 2005. In addition, in the current year, and lower stock option activity.Briggs & Stratton repurchased approximately $27 million of its common shares.

 

FUTURE LIQUIDITY AND CAPITAL RESOURCES

 

Briggs & Stratton has a $350 million revolving credit facility that expires in May 2009. There were no borrowings on this line of credit as of the end of the third quarter fiscal 2006. The credit facility is used to fund seasonal working capital requirements and other financing needs.

 

Management has authorization to buy up to 1.8 million shares of Briggs & Stratton common stock in open market or private transactions under a June 2000 Board of Directors’ authorization. The Company did not purchase any shares in the first half of fiscal 2006.  On February 2, 2006, the CompanyBriggs & Stratton announced its intent to initiate repurchases of up to one million shares of its common stock through open market transactions to be completed by June 2006. The timingAs of the end of the third quarter, Briggs & Stratton had repurchased 753,500 shares on the open market at an average price $35 per share. There were no purchases made in fiscal 2006 prior to the February announcement and amount of purchases will be dependent uponthere were no shares repurchased in fiscal 2005. Subsequent to the marketquarter end, Briggs & Stratton purchased an additional 246,500 shares at an average price of $34 per share. Management does not anticipate any additional share repurchases in fiscal 2006.

Subsequent to the stock and certain governing loan covenants.third quarter ended April 2, 2006, Briggs & Stratton repurchased approximately $ 9 million of 7.25% senior notes due September 15, 2007. Briggs & Stratton does not anticipate making additional repurchases in fiscal 2006.

 

Management expects cash outflows for capital expenditures to be approximately $80$70 million in fiscal 2006. TheseThe anticipated expenditures provide for continued investment in equipment and new products. These expenditures will be funded using available cash.

 

Management believes that available cash, the credit facility, cash generated from operations, existing lines of credit and access to debt markets will be adequate to fund our capital requirements for the foreseeable future.

OTHER MATTERS

 

During the first quarter of fiscal 2006, Briggs & Stratton extended the term of its collective bargaining agreement governing certain Milwaukee area employees through July 31, 2010. Other agreements expire at various times ranging from 2006 through 2008.

 

The Company intends to reduce salaried headcount by a range of 6% to 8% by February 15, 2006.  The goal is to streamline operations to reflect organizational and workflow changes that have occurred over the last several years.  The Company believes the reduction will result in approximately $10 to $15 million of annual, pretax savings beginning in fiscal 2007.

There have been no material changes in Briggs & Stratton’s critical accounting policies since the September 16, 2005 filing of its Annual Report on Form 10-K. As discussed in our annual report, the preparation of financial statements in conformity with accounting principles generally accepted in the U.S. requires management to make estimates and assumptions about future events that affect the amounts reported in the financial statements and accompanying notes.
