1.    Financial Statements

In the opinion of management, the accompanying unaudited consolidated condensed financial statements contain all adjustments necessary to present fairly the Company’s financial position, results of operations and cash flows for the periods presented. All such adjustments are of a normal recurring nature. The results of operations for the three and ninesix months ended SeptemberJune 30, 2022,2023, may not necessarily be indicative of the results for the full year.

Use of Estimates

The preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets, liabilities, revenues and expenses and disclosure of contingent assets and liabilities at the date of the financial statements and during the reporting period. Actual results specifically related to inventory reserves, realizability of deferred tax assets, goodwill trademarks, and contingent considerationtrademarks could materially differ from those estimates, which would impact the reported amounts and disclosures in the consolidated condensed financial statements and accompanying notes.

2.    New Accounting Pronouncement

Not YetRecently Adopted

In June 2016, the FASB issued Accounting Standards Update (“ASU”) 2016-13, Financial Instruments – Credit Losses: Measurements of Credit Losses on Financial InstrumentsInstruments.. This ASU modifies the measurement of expected credit losses of certain financial instruments, based on historical experience, current conditions, and reasonable forecasts, and applies to financial assets measured at amortized cost, including loans, held-to-maturity debt securities, net investments in leases, and trade accounts receivable as well as certain off-balance sheet credit exposures, such as loan commitments. The guidance must be adopted using a modified retrospective transition method through a cumulative-effect adjustment to reinvested earnings in the period of adoption. This ASU will be effective for the CompanyWe adopted this standard in the first quarter of 2023. The Company is in process of establishing a project plan to adopt and apply the new standard and implementing necessary changes to accounting policies, processes, and controls, to enable compliance with this new standard. The Company is currently evaluating the impact the adoption of this standard willdid not have a material impact on itsour consolidated financial statements andor related disclosures.

3.    Acquisition

On June 7, 2021, we acquired substantially all of the operating assets and certain liabilities of Forsake, Inc. (“Forsake”) a distributor of outdoor footwear, under the brand name “Forsake.” The principal assets acquired were inventory, accounts receivable, and intellectual property, including the Forsake brand name. The aggregate purchase price was approximately $2.6 million, plus contingent payments. At the acquisition date, our estimate of the fair value of the contingent payments was approximately $1.3 million in total. For more information regarding the contingent payments, including an estimate of the fair value as of September 30, 2022, see Note 13.

The Company recorded $3.1 million of intangible assets, including $1.2 million of goodwill, which has been allocated to the wholesale and retail segments as of the acquisition date. Goodwill reflects the excess purchase price over the fair value of net assets. All of this goodwill is deductible for tax purposes. The trademark is not amortized, but instead tested for impairment on an annual basis and more frequently when events or changes in circumstances indicate that the carrying value may not be recoverable. For more information regarding the intangible assets acquired, including an estimate of the fair value of the Forsake trademark as of September 30, 2022, see Note 6.

The accompanying consolidated condensed financial statements include the results of Forsake from the date of acquisition through September 30, 2022. For the three months ended September 30, 2022, Forsake’s net sales totaled approximately $0.8 million, of which $0.6 million was recognized in the wholesale segment and $0.2 million was recognized in the retail segment. For the nine months ended September 30, 2022, Forsakes net sales totaled approximately $1.9 million, of which $1.2 million was recognized in the wholesale segment and $0.7 million was recognized in the retail segment. Sales for the three and nine months ended September 30, 2021 were not material. Pro forma financial information is not presented as the effects of this acquisition are not material to our results of operations or financial position.

5.4.    Investments

Investments, at fair value

At Septemberboth June 30, 20222023 and December 31, 2021,2022, we had $0.1$0.1 million and $8.1 million, respectively, of cash invested in highly liquid taxable bond funds. We classify these investments as trading securities and report them at fair value. There were no significant unrealized gains or losses on these investments in the three or ninesix months ended SeptemberJune 30, 20222023 and 2021.2022. The fair value measurements of these investments are based on quoted market prices in active markets, and thus represent a Level 1 valuation as defined by Accounting Standards Codification (“ASC”) 820, Fair Value Measurements and Disclosures.

Marketable securities, at amortized cost

We also invest in marketable securities. As noted in our Annual Report on Form 10-K for the year ended December 31, 2021,2022, all of our marketable securities are classified as held-to-maturity securities and reported at amortized cost pursuant to ASC 320, Investments - Debt and Equity Securities, as we have the intent and ability to hold all investments to maturity.

During the third quarter of 2022, we wrote-down the Forsake contingent consideration liability (see Note 13 ). We determined that this write-down constituted a triggering event such that an impairment assessment was performed for the  Forsake trademark during the quarter. The impairment assessment indicated thatsix months ended June 30, 2023, there were no changes in the carrying value of the Forsake trademark exceeded its fair value, primarily due a decrease in Forsake’s updated sales projections relative to the original projections. Accordingly, the Company wrote down the carrying value of the Forsake trademark from its original value of $1.9 million to its estimated fair value of $1.55 million,our indefinite-lived intangible assets (goodwill and recorded a $350,000 impairment loss during the period. This impairment charge was recorded within selling and administrative expenses in the Consolidated Condensed Statements of Earnings and Comprehensive Income (unaudited)trademarks).

The effective income tax rates for the three months ended SeptemberJune 30, 2023 and 2022 were 26.2% and 2021 were 24.4% and 27.7%24.1%, respectively. 12.11.  Short-Term Borrowings

On September 28, 2022,At June 30, 2023, we amended ourhad a $50.0 million revolving line of credit agreement. The amendment (“Amended Credit Agreement”) extended the maturity ofwith a bank that is secured by a lien against our credit facility togeneral business assets, and expires on September 28, 2023, increased our available borrowing limit from $40.0 million to $50.0 million, and replaced2023. Outstanding advances on the London Interbank Offered Rate (“LIBOR”) benchmark used for determining interest rate on outstanding advances. Under the termsline of the Amended Credit Agreement, amounts outstandingcredit bear interest at the one-month term secured overnight financing rate (“SOFR”) plus 145 basis points. The Amended Credit Agreement is secured by a security interest in our general

business assets, andOur line of credit agreement contains customary representations, warranties, and covenants (including a minimum tangible net worth financial covenant) that are customary for a facility of this type. At SeptemberJune 30, 2022,2023, outstanding borrowings on the line of credit weretotaled approximately $34.7$2.6 million at an interest rate of 4.49%6.54%, and we were in compliance with all financial covenants.

13. Contingent Consideration9

As disclosed in Note 3, there is an earn-out component of the Forsake purchase price, in which contingent payments are to be paid to the former owners of Forsake annually, over a period of five years, if certain performance thresholds are met. At the acquisition date, our estimate of the fair value of the contingent consideration was approximately $1.3 million in total. The estimate of contingent consideration is based on Forsake achieving certain levels of gross margins dollars during the five-year earnout period which runs from August 1, 2021 to July 31, 2026. We remeasure the contingent consideration liability on a quarterly basis and record increases or decreases in its fair value as an adjustment to operating earnings. The third quarter of 2022 was the first time we recorded a change in fair value of the contingent consideration liability.

The first year of the five-year earn-out period ended on July 31, 2022. We remeasured the contingent consideration liability during the third quarter of 2022 and concluded that the gross margin thresholds were not met, therefore no first-year payment was to be made under the agreement. We also reduced our sales projections for the brand. The remeasurement resulted in a reduction of the contingent liability by $407,000 during the quarter, from its original value of $1.3 million to $950,000. The net gain of $407,000 was recorded within selling and administrative expenses in the Consolidated Condensed Statements of Earnings and Comprehensive Income (unaudited).

The fair value measurement of contingent consideration is based on significant inputs not observed in the market and thus represents a level 3 valuation as defined by ASC 820. The fair value measurement was determined using a probability-weighted model which includes various estimates related to Forsake’s future sales levels and gross margins. As of September 30, 2022, we estimated that the range of possible payments was between $400,000 and $1.2 million in aggregate.

14.12.  Financial Instruments

At SeptemberJune 30, 2022,2023, our wholly-owned subsidiary, Florsheim Australia, had foreign exchange contracts outstanding to buy $1.9$2.6 million U.S. dollars at a price of approximately $2.7$3.7 million Australian dollars. These contracts all expire in the fourth quarter of 2022.2023. Based on quarter-end exchange rates, there were no significant unrealized gains or losses on the outstanding contracts.

We determine the fair value of foreign exchange contracts based on the difference between the foreign currency contract rates and the widely available foreign currency rates as of the measurement date. The fair value measurements are based on observable market transactions, and thus represent a Level 2 valuation as defined by ASC 820.

GENERAL

The Company designs and markets quality and innovative footwear principally for men, but also for women and children, under a portfolio of well-recognized brand names, including:including Florsheim, Nunn Bush, Stacy Adams, BOGS, Rafters, and Forsake. Inventory is purchased from third-party overseas manufacturers. The majorityAlmost all of these foreign-sourced purchases are denominated in U.S. dollars.

We have two reportable segments, North American wholesale operations (“Wholesale”) and North American retail operations (“Retail”). In the wholesaleWholesale segment, the Company’sour products are sold to leading footwear, department, and specialty stores, as well as e-commerce retailers, primarily in the United States and Canada. We also have licensing agreements with third parties who sell our branded apparel, accessories, and specialty footwear in the United States, as well as our footwear in Mexico and certain markets overseas. Licensing revenues are included in our wholesaleWholesale segment. Our retailRetail segment consists of e-commerce businesses and four brick and mortar retail stores in the United States. Retail sales are made directly to consumers on our websites, or by our employees.

The Company’sOur “other” operations include our wholesale and retail businesses in Australia, South Africa, and Asia Pacific (collectively, “Florsheim Australia”) and Europe (“Florsheim Europe”).  However, as previously disclosed, we have closed Florsheim Europe. As a result, the 2022 operating results of the “Other” category reflect only that of Florsheim Australia. The majority of our operations are in the United States and our results are primarily affected by the economic conditions and retail environment in the United States.

EXECUTIVE OVERVIEW

After a strong 2022, during which our sales were lifted to record levels by a combination of post-pandemic retailer pipeline fill as well as strong consumer demand, 2023 represents a return to the footwear industrys normal cyclical challenges. We are seeing consumer discretionary purchases shift away from products like footwear and apparel, and more towards experiential expenditures like travel and dining out. As such, previously elevated footwear sales returned to historical norms, and our customers have become much more cautious as far as their inventory levels. This trend is reflected in our sales in the second quarter of 2023 across all our major brands.

In our legacy business, Florsheim sales were down 11%, Stacy Adams was down 17%, and Nunn Bush was down 1% compared to last year’s second quarter. By comparison, all three brands experienced significant growth in our wholesale segmentincreases in the thirdsecond quarter of 2022, leading us to our fourth straight quarterand the shipment decrease is indicative of record consolidated sales. Our wholesale net sales were up 63% over last years third quarter. Our performance resulted from the strong demandoverall slowdown in the industry. Sell-throughs for our footwear at both the retailer and consumer levels. Our strong inventory position allowed us to fulfill demand on a timely basis in 2022, compared to the third quarter of 2021 when our shipments were constrained due to supply chain issues. In comparison to the pre-pandemic third quarter of 2019, our wholesale sales were up 20%. As a company, we achieved record profitability for the quarter.

Our legacy brands, Florsheim, Stacy Adams, and Nunn Bush registered gainsare tracking slightly above levels seen prior to the pandemic. Our focus for our legacy brands is threefold. First, we are focused on maintaining our leadership position in the dress-footwear market through superior product and value. Many of 82%, 68%,our competitors have vacated this category, while we see dress footwear as an evergreen market and 50% respectively, fora core competency of our company. Second, we are focused on continuing to develop new products that fit evolving consumer preferences. While we have benefitted from renewed interest in dress footwear over the quarter. Bothlast two years, we need to continue to diversify our product assortment. Florsheim, and especially Nunn Bush, had significant increases over 2019, and Florsheim had its largest third quarter on record. The footwear market continues to cycle away from the in-homehave made good progress in terms of increasing their percent of casual lifestyle that prevailed during the pandemic and toward more of a dress-up aesthetic. The changeover has boosted demand for work-oriented and occasion-oriented footwear resulting in strong sales acrosssales. Meanwhile, all our traditional legacy brands. We also benefitted from less competition in dress and dress-casualthree brands have been growing hybrid footwear as certain brands pulled back from this space during the pandemic.an important part of their mix. A third and final area of focus is to make sure we are disciplined in terms of our approach to style count and inventory. categoriesOur BOGS business was down 35% versus the second quarter of footwear. While2022. BOGS second quarter performance was impacted by an oversaturated outdoor footwear and weather boot market. Retailers are taking a very conservative approach to ordering for the second half of the year as they work through their current inventory. As a result, our confirmed orders are lower than last year for our Fall key selling season, and we believewill be reliant on a heavier percentage of at-once orders than in years past. Achieving normal Fall shipment results for the marketbrand will be dependent on external factors such as favorable weather conditions. We have adjusted our planned inventory for refined footwear will remain a growth opportunity for usBOGS down to manage the softness in the near to mid-term, we remain focused, long-term, on strengtheningcategory. Like our casual assortment for all brands.

BOGS third quarter sales were up 52% versus 2021, and it was a record quarter for BOGS shipments. The outdoor business took off during the height of the pandemic, and we spent much of 2020 and 2021 navigating supply chain issues to try to meet the heightened consumer demand. In 2022, we are in a much better inventory position allowing us to deliver on our strong backlog of orders. In addition, we have expanded our BOGS sales beyond our classic styles, and have picked up market share with more casual and lifestyle products, particularly in the womens category. As we head into the fourth quarter, it has become clear that the outdoor market is over-saturated with product, and consumer demand has softened somewhat relative to last year. We believe we are in a good position to navigate these changes, as most oflegacy brands, our BOGS inventory is in styles thatturning more slowly than normal, but we also believe will have validity well into the future.  

The onboarding of the Forsake brand has been slower than anticipated due to supply chain challenges. We are in the process of introducing several new styles for Fall of 2023, and believe the brandthis slowness will be well-positioned for a relaunch in the back half of next year.short-term situation.

Our retailIn regards to Forsake, sales were up 13%5% over last year’s second quarter. The brand remains a work-in-progress but we are pleased with the retail selling of some of the new styles we have introduced.

Retail sales were up 3% for the quarter mainly driven by strongcompared to the same period last year. The solid performance of our retail business has been encouraging as our sales have been outperforming the industry in 2023. Our e-commerce sales. We are pleased by this solid growth, as industry statistics indicate that footwear e-commerceteam has done excellent work throughout 2023 driving sales are largely flat year over year. However, our e-commerce profitability is down due to higher selling and administrative costs, primarily related to shipping and advertising. Shipping expense increases track the surge in fuel costsa tough environment while the digital advertising space has become more competitive and, in some respects, less efficient with new privacy settings limiting the advertisers ability to target consumers effectively in comparison to prior years. As we move forward, we are focused on getting ourkeeping costs in line while maintaining our growth trend.line.

Third quarter salesSales at Florsheim Australia, which is comprised of the Australian, New Zealand, Pacific Rim and South African markets, were up 71% versus 2021down slightly for the second quarter, but in local currency, with higher sales were up 7% over last year’s second quarter. Our overall Florsheim Australia business held up well given these markets are facing some of the same macro-economic challenges we are experiencing in both itsthe U.S. Our business model in Australia and New Zealand, as well as in South Africa, is on sound footing and we believe that we are positioned well for the long-term. However, we have decided to close our Hong Kong office and distribution center and wind down our Asia Pacific wholesale and retail businesses. Last year, the Florsheim Australian markets were significantly impacted by COVID-19 shutdowns. With the openingdivision with a target date of the Australian markets, bothend of 2023. ThirdSecond Quarter Highlights

Consolidated net sales were a third-quarter record of $97.0$67.0 million, up 57%down 10% compared to $61.8record second-quarter sales of $74.4 million in the third quarter of 2021.2022. Consolidated gross earnings increased to 40.6%43.3% of net sales compared to 40.0% of net sales in last years thirdsecond quarter, due mainly to higher gross margins in our wholesaleWholesale segment. Quarterly operatingEarnings from operations rose 18% to $6.7 million, from $5.7 million in the second quarter of 2022. Net earnings were a second-quarter record $14.2 million, more than double last years third quarter operating earnings of $6.7 million. Quarterly net earnings were a record $10.8$4.9 million, or $1.12$0.50 per diluted share, up more than 100% from $5.18% over our previous record of $4.5 million, or $0.52$0.47 per diluted share, last year.

Year-to-Date Highlights

Consolidated net sales for the first nine monthshalf of 20222023 were a$153.3 million, down 2% compared to record $252.7 million, up 52% fromfirst-half net sales of $166.3$155.7 million in the first nine months of 2021.2022. Consolidated gross earnings were 38.9%43.2% of net sales in the first ninesix months of 20222023 versus 40.1%37.8% of net sales in the same period one year ago. The decreaseincrease was primarily due to lowerhigher gross margins in our wholesaleWholesale segment. Year-to-date consolidated operating earnings totaled $25.3were a record $17.1 million in 2022,2023, up 96%54% compared to $12.9$11.1 million in 2021.2022. Our net earnings totaled $19.3were a record $12.3 million, or $2.01$1.28 per diluted share, in the first nine monthshalf of 2022, up 89%2023 versus $10.2$8.5 million, or $1.05$0.89 per diluted share, in the same period last year.

Last years first quarter results were significantly impacted by the effects of the COVID-19 pandemic. As such, comparisons of year-to-date 2022 financial performance to 2021 may have limited utility. Therefore, selected comparisons to 2019 (pre-COVID) are included. Consolidated net sales for the first nine months of 2022 exceeded 2019 levels by 16%. Our operating earnings for the nine months ended September 30, 2022 exceeded 2019 levels by 63%.

Financial Position Highlights

At SeptemberJune 30, 2022,2023, our cash, short-term investments, and marketable securities totaled $18.7$29.6 million and we had $34.7$2.6 million outstanding on our $50.0 million revolving line of credit. During the first ninesix months of 2022,2023, we drew $34.7generated $43.6 million of cash from operations. We used funds to pay down $28.6 million on our line of credit, and liquidated $8.1 million of investment securities. We paidto pay $6.9 million in dividends, and repurchased $3.3to repurchase $2.1 million of our common stock. We also had $1.4 million of capital expenditures during the period.

NetWholesale net sales for the second quarter were lower across all our major brands (Stacy Adams, Nunn Bush, Florsheim, and BOGS/Rafters) due to reduced demand in our2023 following record growth in 2022. For the six months ended June 30, 2023, wholesale segmentnet sales were a record $81.6 million indown 4% compared to the third quarterfirst six months of 2022. While part of the sales increase was due to strong consumer demand and higher selling prices, lastLast years third quarter sales were abnormally low due to supply chain delays which caused some third quarter orders to ship in the fourth quarter. Both Florsheim and BOGS achieved record third-quarter sales this year, on top of a record first half for the two brands.

This quarter our wholesale business experienced peak demand, and our inventory levels supported record shipments. Looking forward to the fourth quarter, we anticipate that our sales will fall short of 2021 due to last years shift in third quarter sales to the fourth quarter, but overall, the second half of 2022 is expected to outpace the same period of 2021.

For the nine months ended September 30, 2022, wholesale net sales were up significantly over the first nine months of 2021. Last years first quarter sales of our legacy brands (Stacy Adams, Nunn Bush,due to post-pandemic retailer pipeline fill and Florsheim) were lower than normal because the pandemic

significantly impacted sales of dress and dress-casual footwear in that period. Sales of the BOGS outdoor brand, which were less affected by the pandemic, rose 54% for the year-to-date period, with sales up across all major distribution channels. Wholesale net sales for the first nine months of 2022 surpassed 2019 levels by 20%, driven by the strong consumer demanddemand. So far in 2023, all our major brands have experienced decreases in pairs sold, as the footwear industry returned to its normal cycle. Decreases in pairs sold were partially offset by higher unit selling prices this year.

Licensing revenues consist of royalties earned on the sales of branded apparel, accessories, and specialty footwear in the United States and on branded footwear in Mexico and certain overseas markets.

Earnings from Operations

Wholesale gross earnings were 36.3%37.0% of net sales in the thirdsecond quarter of 20222023 compared to 34.6%33.7% of net sales inlast year. Gross margins for the third quarter of 2021. Gross margins improved as a result of selling price increases implemented in 2022 to address higher selling prices and lower inbound freight costs, as freight rates on containers coming from China declined during the quarter. While inbound freight costs currently remain above pre-pandemic levels, we are continuing to see freight costs move downward which helped to drive our increased margins for the quarter.costs. For the ninesix months ended SeptemberJune 30, wholesale gross earnings were 33.5%37.7% of net sales in 20222023 compared to 33.8%31.7% of net sales in 2021.2022. The decreaseincrease in gross margins for the year-to-date period was primarily due to higher selling prices and lower inbound freight costs. Last years first quarter gross margins were negatively impacted by higher inbound freight costs incurred inas a result of the first quarter.global supply chain issues at that time, which have since eased.

Wholesale selling and administrative expenses include, and are primarily related to, distribution costs, salaries and commissions, advertising costs, employee benefit costs and depreciation. Wholesale selling and administrative expenses were $16.7totaled $13.7 million or 21%for the quarter, compared to $15.7 million in last years second quarter, which constituted 27% of net sales in the third quarter of 2022 compared to $11.3 million, or 23% of net sales, in the third quarter of 2021.both periods. For the ninesix months ended SeptemberJune 30, wholesale selling and administrative expenses were $47.7 million, or 23% of net sales, in 2022 versus $32.4$31.6 million, or 26% of net sales, in 2021.  Expenses were up for the quarter and year-to-date periods due largely to higher employee costs associated with our increased2023 versus $31.0 million, or 25% of net sales, volumes this year. The CompanysOur cost of sales does not include distribution costs (e.g., receiving, inspection, warehousing, shipping, and handling costs, which are included in selling and administrative expenses). Wholesale distribution costs were $4.1$3.5 million in the thirdsecond quarter of 20222023 and $3.0$3.7 million in the same period of 2021.2022. North American Retail Segment

Net Sales

Net sales in theour retail segment were a third quartersecond-quarter record of $7.1$7.6 million, up 3% compared to our previous record of $7.4 million in 2022, up 13% compared to $6.3 million in the third quarter of 2021.2022. The increase was primarily due to higher sales volumes across all our major brands’e-commerce websites. Sales were also up at our four domestic brick and mortar stores.

For the ninesix months ended SeptemberJune 30, retail net sales were a record $22.4$16.6 million in 2022,2023, up 24% from $18.18% over $15.3 million in 2021.2022. The year-to-date increase was due tomainly driven by higher sales volumes on all our brands’ websitesthe Florsheim and higher brick-and-mortar sales. Last year’s first quarter brick-and-mortarStacy Adams websites. Brick-and-mortar sales were down significantly as a resultalso up in the first half of 2023 compared to the pandemic. 2022 retail net sales surpassed the 2019 level by 39%, due primarily to growth in e-commerce.same period last year.

Earnings from Operations

Retail gross earnings as a percent of net sales were 66.3%66.2% and 68.4%67.4% in the thirdsecond quarters of 20222023 and 2021,2022, respectively. For the ninesix months ended SeptemberJune 30, 2022 and 2021,2023, retail gross earnings as a percentwere 66.2% of net sales, were flat at 66.5%compared to 66.7% of net sales in both periods.the same period of 2022.

Selling and administrative expenses for the retail segment consist primarily of freight, advertising expense, employee costs, and rent and occupancy costs. Retail selling and administrative expenses were $4.0 million, or 52% of net sales, for the quarter compared to $3.9 million, or 55%52% of net sales, in the thirdsecond quarter of 2022 versus $2.9 million, or 46% of net sales, in the third quarter of 2021.2022. For the ninesix months ended SeptemberJune 30, retail selling and administrative expenses were $12.1totaled $8.6 million or 54%in 2023 and $8.2 million in 2022. As a percent of net sales, retail selling and administrative expenses were 52% and 54% in the first half of 2023 and 2022, and $8.7 million, or 48% ofrespectively; the decrease was primarily due to lower e-commerce expenses relative to net sales, in 2021. The increases in 2022 were mainly due to higher e-commerce expenses, primarily outbound freight and advertising.advertising costs. We realized costs savings as a result of measures taken over the past year to control costs.

Retail operating earnings were $825,000 for the quarter, down 41% compared to $1.4$1.1 million in last year’s third quarter.both the second quarters of 2023 and 2022. For the ninesix months ended SeptemberJune 30, retail operating earnings were $2.8a record $2.4 million in 2022, down 17% from $3.32023, up 21% over $1.9 million in 2021.2022. The decreases for the quarter and year-to-date periods weresix-month earnings increase was primarily due to lower earnings from our e-commerce businesses, as higher sales were offset by higher selling and administrative expenses.

Other

Our other businesses include our wholesale and retail operations of Florsheim Australia and Florsheim Europe (which closed in 2021). Other net sales for the third quarter of 2022 were $8.2 million, up 54% compared to $5.3 million in the third quarter of 2021, due to higher sales and improved profitability of our e-commerce businesses this year.

Other

Operating results reported in the other category consist entirely of the operating results at Florsheim Australia. Other net sales totaled $7.9 million, down slightly compared to $8.0 million in the second quarter of 2022. For the six months ended June 30, 2023, other net sales were $15.4 million, up 7% compared to $14.4 million in the same period one year ago. In local currency, Florsheim Australias net sales were up 71%7% and 14% for the quarter due to higher sales in both its retail and wholesale businesses. Last years third quarter results were negatively impacted by COVID-19 related lockdowns which resulted in a large number of Florsheim Australias stores being closed for a majority of the quarter.

For the nine months ended September 30, 2022, other net sales were $22.6 million, down 1% compared to $22.7 million in the same period one year ago. The decrease in 2022 was due to the closing of Florsheim Europe, mostly offset by higher sales at Florsheim Australia. Florsheim Australias net sales for the first nine months of 2022 were up 11% compared to the same period in 2021. In local currency, Florsheim Australias net sales were up 19% for the year-to-date period,periods, respectively, with sales up in both its retail and wholesale businesses. The weakening of the Australian dollar relative to the U.S. dollar led to the lower sales growth in U.S. dollars this year.

Florsheim Australias gross earnings were 62.4% of net sales for the first nine monthsquarter compared to 61.3% of 2022 rebounded to 100% of 2019 levels.  

Other operating earnings recovered to $476,000 for the quarter from operating losses of $682,000net sales in last years thirdsecond quarter. For the six months ended June 30, Florsheim Australias gross earnings as a percent of net sales were 61.5% and 60.6% in 2023 and 2022, respectively.

Other operating earnings totaled $276,000 for the quarter versus $365,000 in last years second quarter. This increasedecrease was primarily due to improved performance of our retail and online businesseslower operating earnings in Australia.Asia. For the ninesix months ended SeptemberJune 30, 2022,2023, other operating earnings totaled $598,000$551,000 compared to operating losses of $445,000$122,000 in the same period last year. The year-to-date earnings increase was primarilylargely due to improved performanceresults of the wholesale and retail businesses in Australia, but also due to the shedding of losses at Florsheim Europe.Australia.

Other income and expense

Interest income was $86,000$190,000 and $186,000$89,000 for the three months ended SeptemberJune 30, 20222023 and 2021,2022, respectively. For the ninesix months ended SeptemberJune 30, interest income was $266,000$329,000 in 20222023 and $505,000$180,000 in 2021.2022. The decreasesincreases in 20222023 were due to lessmore interest earned on the lowerhigher cash and investment balances this year. Interest expense increased $197,000$121,000 and $128,000$505,000 during the three and ninesix months ended SeptemberJune 30, 2022,2023, compared to the same periods of 2021,2022, due to interest incurred on the higher average debt balancebalances this year.

Other (expense) income, net, was $141,000totaled ($168,000) for the quarter compared to $76,000$181,000 in last years thirdsecond quarter. For the year-to-date period, other (expense) income, net, totaled $316,000($298,000) in 20222023 and $403,000$175,000 in 2021.2022. The increases in expense for both the quarter and year-to-date periods was primarily due to an increase in the non-service cost components of pension expense this year. See Note 7 in the Notes to the Consolidated Condensed Financial Statements (Unaudited) for additional details.

LIQUIDITY AND CAPITAL RESOURCES

Our primary sources of liquidity are our cash, short-term investments, short-term marketable securities, and our revolving line of credit. During the first ninesix months of 2022, our2023, we generated $43.6 million of cash from operations resulted incompared to a net $42.1 million use of cash mainlytotaling $18.7 million in the same period one year ago. The increase in 2023 was primarily due to fund inventory purchases.higher net earnings and changes in operating assets and liabilities, principally accounts receivable and inventory. Our overall inventory balanceas of June 30, 2023 was $112.0$103.9 million, down from $128.0 million at September 30, 2022, up from $52.9 million at September 30, 2021.December 31, 2022. We have been buildingcontinued to bring down our inventories to meet the increased demand for our products. Theinventory levels as supply chain continues to improve and delivery timeschains have become shorter and more consistent. For Fall 2022 and Spring 2023 product, we planned our receipt of inventory to be earlier than normal to ensure on-time delivery to our customers. As we plan for Fall 2023, our lead times with manufacturing have returned closer to historical norms which will allownormalized, allowing us to bring in productshoes closer to the season.need.

During the first nine months of 2022, we liquidated $8.1 million of investment securities and drew $34.7 million on our line of credit, mainly to fund inventory purchases.

We paid dividends totaling $6.9 million and $4.6 million in both the first nine-month periodssix-months of 2023 and 2022, respectively. The increase in 2023 was due to a shift in timing of our quarterly dividend payment schedule; the first six months of 2023 included three quarterly dividend payments, as our fourth quarter 2022 dividend was paid in early January 2023. Conversely, the first half of 2022 andonly included two quarterly dividend payments, as our fourth quarter 2021 dividend was paid in December 2021. On NovemberAugust 1, 2022,2023, our Board of Directors declared a cash dividend of $0.24$0.25 per share to all shareholders of record on November 28, 2022,August 25, 2023, payable January 3,September 29, 2023.

We repurchase our common stock under our share repurchase program when we believe market conditions are favorable. During the first ninehalf of 2022,2023, we repurchased 133,52685,157 shares for a total cost of $3.3$2.1 million. As of SeptemberJune 30, 2022, the Company2023, we had the authority to repurchase approximately 1.1 million954,000 shares under our previously announced stock repurchase program. This total includes the additional 1.0 million shares that were authorized for repurchase by our Board of Directors on May 3, 2022. At June 30, 2023, we amended ourhad a $50.0 million revolving line of credit agreement. The amendment extended the maturity ofwith a bank that is secured by a lien against our credit facility togeneral business assets, and expires on September 28, 2023, increased our available borrowing limit from $40.0 million to $50.0 million, and replaced2023. Outstanding advances on the LIBOR benchmark used for determining the interest rate on outstanding advances. Under the termsline of the amended credit agreement, amounts outstanding bear interest at the one-month term secured overnight financing rate (SOFR) plus 145 basis points. The amendedOur line of credit agreement is secured by a security interest in our general business assets, and contains customary representations, warranties, and covenants (including a minimum tangible net worth financial covenant) that are customary for a facility of this type. At SeptemberJune 30, 2022,2023, outstanding borrowings on the line of credit were approximately $34.7totaled $2.6 million at an interest rate of 4.49%6.54%, and we were in compliance with all financial covenants. At December 31, 2022, outstanding borrowings on the line of credit totaled $31.1 million at an interest rate of 5.77%. In the first six months of 2023, our cash collections exceeded cash outlays, reducing our borrowing balances this year. We expect to renew our line of credit later this year, but cannot provide any assurances that it will be renewed on terms acceptable to us, or at all.

As of SeptemberJune 30, 2022,2023, approximately $3.8$4.8 million of cash and cash equivalents werewas held by our foreign subsidiaries.

We will continue to evaluate the best uses for our available liquidity, including, among other uses, capital expenditures, continued stock repurchases and acquisitions. The Company believes that available cash, short-term investments, marketable securities, cash provided by operations, and available borrowing facilities will provide adequate support for the cash needs of the business for at least one year, although there can be no assurances.
