Item 3.02 Unregistered Sales of Equity Securities.
On October 15, 2021, New Jersey Mining Company (the “Company”) closed subscriptions of US$1,980,000.00 to its non-brokered private placement (the “Private Placement”) with a small group of investors. Proceeds from the private placement will be used for a 10-hole core drilling program on the Company’s Diamond Creek Rare Earth Element property and for the purchase of and down payments on equipment upgrades expected to aid in increasing production at the Golden Chest Mine.
The Private Placement consisted of units (the “Units”) issued at US $0.30 per Unit with each Unit consisting of one common share (a “Common Share”) and one-half common share purchase warrant (a “Warrant”). Each whole Warrant is exercisable into a Common Share (a “Warrant Share”) at an exercise price of US $0.40 per Warrant Share for a period of 2 years.
A total of 6,600,000 restricted Common Shares and 3,300,000 Warrants were issued pursuant to the Private Placement.
H&H Metals Corp., the Company’s concentrate broker participated in the offering, purchasing 500,000 units and the Company’s President & CEO, John Swallow also participated in the offering, purchasing 250,000 units.
The above-described sale and issuance of the Units, common shares and warrants (and the issuance of shares of common stock upon exercise thereof) were not registered under the Securities Act of 1933, as amended (“Securities Act”), or the securities laws of any state, are subject to resale restrictions and may not be offered or sold in the United States absent registration under the Securities Act. The foregoing sale of securities has been determined to be exempt from registration in reliance on Section 4(a)(2) of the Securities Act and the safe harbor provided by Rule 506(b) of Regulation D promulgated thereunder, as transactions by an issuer not involving a public offering, in which the investors are accredited and have acquired the securities for investment purposes only and not with a view to or for sale in connection with any distribution thereof.
