On and effective February 23, 2022, the Board of Directors (the “Board”) of ONEOK, Inc. (the “Company”) amended and restated the Company’s existing Amended and Restated By-laws (as amended and restated, the “By-laws”) to provide, in Section 3.16, that, in the absence of the chairman of the Board, the chair of the Corporate Governance Committee (also known as the Lead Independent Director) will preside at all meetings of the Board. The foregoing description of the amendments to the By-laws is qualified in its entirety by reference to the text of the By-laws, a copy of which is attached to this Current Report on Form 8-K as Exhibit 3.1 and is incorporated herein by reference. | ||||||||
