ITEM 2.02    RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On October 28, 2020, NIC Inc. (the “Company”) issued a press release announcing its 2020 third quarter financial results. A copy of the press release is furnished with this report on Form 8-K as Exhibit 99.1, and is incorporated by reference herein.

ITEM 7.01    REGULATION FD DISCLOSURE

On October 26, 2020, the Company’s Board of Directors declared a regular quarterly cash dividend of $0.09 per share, payable to stockholders of record as of December 4, 2020. The dividend, which is expected to total approximately $6.1 million based on the current number of shares outstanding, will be paid on December 18, 2020, out of the Company’s available cash.
