Item 1.01. Entry into a Material Definitive Agreement.

 

On July 7, 2021, Manhattan Bridge Capital, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with B. Riley Securities, Inc. (the “Underwriter”) in connection with a public offering (the “Offering”) of 1,875,000 of the Company’s common shares, $0.001 par value per share (the “Common Shares”), at a price to the public of $7.20 per share. Pursuant to the Underwriting Agreement, the Underwriter agreed to buy, on an underwritten firm commitment basis, 1,875,000 Common Shares. Pursuant to the Underwriting Agreement, the Company granted the Underwriter a 30-day option to purchase from the Company up to an additional 281,250 Common Shares at the same public offering price per share, less underwriting discounts and commissions, to cover over allotments, if any.

 

B. Riley Securities, Inc. was the sole book-running manager for the Offering. The Offering is expected to close on July 9, 2021, subject to the satisfaction of customary closing conditions.

 

In connection with the Offering, the Underwriter agreed to purchase the Common Shares at a price of $6.696 per share (or 93% of the public offering price per share), and the Company agreed to reimburse certain other expenses of the Underwriter.

 

The net proceeds to the Company are expected to be approximately $12.3 million, assuming no exercise of the over-allotment option and after deducting underwriting discounts and commissions and estimated expenses payable by the Company associated with the Offering. The Offering is being made pursuant to the Company’s shelf registration statement on Form S-3 (Registration No. 333-256396), which was declared effective by the Securities and Exchange Commission (the “SEC”) on June 1, 2021. A prospectus supplement relating to the Offering will be filed with the SEC.
