ITEM 7.01 REGULATION FD DISCLOSURE.
As stated in the Current Report on Form 8-K filed on August 16, 2019, on August 15, 2019, Viking Energy Group, Inc. (the “Company”) entered into a letter of intent with respect to the proposed purchase by the Company, directly or through a wholly-owned subsidiary, of working interests and over-riding royalty interests in oil and gas properties in Texas and Louisiana, along with associated wells and equipment. Current production from the target assets (approx. 71 wells in Texas and 52 in Louisiana) is approximately 1,085 bopd and 16,800 mcf/d.
On August 27, 2019, the Company and the seller agreed to modify the non-binding letter of intent to extend the date by which the parties would execute a definitive purchase and sale agreement from September 16, 2019, to September 30, 2019.
There is no assurance that the proposed transaction will be completed.
