PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach Extra Sheets if Needed).
Oasys Mobile, Inc. (the "Company") has determined that it is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2007 ("Form 10-Q") by August 14, 2007 without unreasonable effort and expense due to the Company's current financial condition and the costs of completing the Form 10-Q.
As previously disclosed, on July 18, 2007, the Company filed a voluntary petition for reorganization under Chapter 11 of the United States Bankruptcy Code (the "Bankruptcy Code") in the United States Bankruptcy Court for the District of Delaware (the "Bankruptcy Court") (Case No. 07-10961 (CSS)). Oasys Mobile continues to operate its business as a debtor-in-possession under the Bankruptcy Code and orders of the Bankruptcy Court.

There will not be significant changes in the results of operations from the corresponding period for the last fiscal year reflected by the earnings statements to be included in the subject report or portion thereof. However, there will be material changes to the current liabilities, cash and cash equivalents and liquidity of Oasys Mobile due to the maturity and non-payment of its 6% Secured Convertible Debentures on June 30, 2007, which has resulted in the filing of Oasys Mobile's voluntary petition for reorganization under Chapter 11 of the United States Bankrupty Code.
