Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
(a) On March 26, 2020, the Board of Directors (the “Board”) of Entravision Communications Corporation (the “Company”) approved and adopted the Fifth Amended and Restated Bylaws of the Company (the “Amended Bylaws”). The Amended Bylaws have an amended forum selection provision that provides that the federal district courts of the United States of America shall, to the fullest extent permitted by law, be the exclusive forum for the resolution of any complaint asserting a cause of action arising under the Securities Act of 1933, in all cases subject to the court’s having personal jurisdiction over the indispensible parties named as defendants.
