On April 18, 2019, the Board of Directors (the “Board”) of PolyOne Corporation (the “Company”), upon the recommendation of the Board’s Compensation Committee, approved and adopted an amendment (the “Amendment”) to the PolyOne Supplemental Retirement Benefit Plan (As Amended and Restated Effective January 1, 2014), as amended (the “Plan”).
The Board approved and adopted the Amendment to add a Company stock fund investment feature to the Plan to mirror the investment alternatives available under the Company’stax-qualified profit sharing/401(k) plan. This feature will also provide for the deemed reinvestment of dividend equivalents on amounts attributed to the Company stock fund. The Amendment also permits the payout of balances deemed invested in the Company stock fund investment feature in the form of Company common shares (or cash for fractional shares).
