Item 7.01 Regulation FD Disclosure.
On September 19, 2019, the Board of Directors of JetBlue Airways Corporation (the “Company”) authorized the Company to repurchase up to $800 million of its common stock beginning on October 1, 2019 and ending on December 31, 2021. The stock repurchase program includes authorization for repurchases in open market transactions pursuant to Rules 10b-18 and/or 10b5-1 of the Securities and Exchange Act of 1934, as amended, and/or one or more accelerated stock repurchase programs through privately-negotiated accelerated stock repurchase transactions. The timing, price and volume of any repurchases will be based on market conditions and other relevant factors.
The Company’s previous stock repurchase program authorized repurchases of up to $750 million and began on January 1, 2017. This program is expected to be completed during the fourth quarter of 2019.
