Item 7.01.    Regulation FD Disclosure.

On September 29, 2020, the Company announced its entry into a definitive agreement to acquire substantially all of the assets of Affinity Health Plan. The full text of the press release is included as Exhibit 99.1 to this report.
 
The Company has also posted a one-page infographic with respect to the transaction entitled “Strategically and Financially Attractive Acquisition”, dated September 29, 2020, on the Company’s website, www.molinahealthcare.com. The infographic is included as Exhibit 99.2 to this report. The information contained in the Company’s website is not part of this report.
