EXPLANATORY NOTE
Pursuant to General Instruction E of Form S-8, this registration statement on Form S-8 registers additional securities of the same class as other securities for which a registration statement on Form S-8 of the Registrant relating to the Plan is effective. Prior registration statements on Form S-8 were filed on: March 16, 1994 (File No. 033-52699), which registered 1,000,000 shares of Common Stock under the Plan by the Registrant with the Securities and Exchange Commission (the “Commission”) and on March 23, 2001 (File No. 333-57506), which registered 1,000,000 shares of Common Stock under the Plan. A post-effective amendment was filed on March 11, 2003 (File No. 333-57506-99), naming Crown Holdings, Inc. as the successor registrant to Crown Cork & Seal Company, Inc. & #160;This registration statement registers an additional 1,000,000 shares of Common Stock under the Plan.
