Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On November 25, 2020, our shareholders approved our 2020 Equity Incentive Plan at our Annual General Meeting of Shareholders described in Item 5.07 below. Our Board of Directors administers this plan, which allows us to grant incentive stock options, non-statutory share options, share appreciation rights, restricted shares, restricted share units, other share-based awards, and dividend equivalent rights. We may grant awards under the plan to our employees, officers, directors, consultants, and advisors. Subject to adjustment in the event of stock splits, stock dividends and other similar events, we may make awards under the plan for up to 3,500,000 of our ordinary shares plus an additional number of ordinary shares equal to the number of performance share units (on a 1:1 basis) that were outstanding on November 25, 2020 under our 2016 Performance Equity Plan and that subsequently expire, terminate or are otherwise surrendered, canceled or forfeited.

Cimpress plc held an Annual General Meeting of Shareholders on November 25, 2020. There were 26,003,649 ordinary shares of Cimpress plc issued, outstanding, and eligible to vote at the record date of September 25, 2020. The voting results for each proposal are as follows:

At the Annual General Meeting, our shareholders took the following actions on the proposals:
(1) Our shareholders reappointed Sophie A. Gasperment to our Board of Directors to serve for a term of three years ending at the conclusion of our annual general meeting of shareholders in 2023.
(2) Our shareholders approved our non-binding “say on pay” proposal regarding the compensation of our named executive officers, as described in the Compensation Discussion and Analysis, executive compensation tables, and accompanying narrative disclosures in our definitive proxy statement dated October 7, 2020.
(3) Our shareholders approved our 2020 Equity Incentive Plan.
(4) Our shareholders set the minimum price at which we may reissue our treasury shares at €0.01 and the maximum price at which we may reissue our treasury shares at an amount equal to 200% of the market price of our ordinary shares on the Nasdaq Global Select Market or any other securities exchange where our shares are then traded, until May 25, 2022.
(5) Our shareholders reappointed PricewaterhouseCoopers Ireland as our statutory auditor under Irish law to hold office until the conclusion of our annual general meeting of shareholders in 2021.
(6) Our shareholders authorized our Board of Directors or Audit Committee to determine the remuneration of PricewaterhouseCoopers Ireland in its capacity as our statutory auditor under Irish law.
