Item 8.01. Other Events
As previously disclosed, First Solar, Inc. (the “Company”) is a nominal defendant and certain current and former Company officers and directors have been named individual defendants in a putative shareholder derivative suit captioned Kaufold v. Ahearn, et. al., Case No. CV2013-009938, filed in the Superior Court of Arizona, Maricopa County (the “Court”). On October 30, 2020, the plaintiff filed with the Court an Unopposed Motion for Preliminary Approval of a Proposed Derivative Settlement and Proposed Order Preliminarily Approving Settlement (the “Preliminary Approval Order”). On November 6, 2020, the Court entered the Preliminary Approval Order. Pursuant to the terms of the Preliminary Approval Order, the Company is filing the Notice of Proposed Derivative Settlement, attached hereto as Exhibit 99.1, with this Current Report on Form 8-K.
