Item 2.02     Results of Operations and Financial Condition.

On February 25, 2021, Leaf Group Ltd. (the “Company”) issued a press release announcing financial results for its quarter and fiscal year ended December 31, 2020. The full text of the Company’s press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. The Company also issued a shareholder letter (the “Shareholder Letter”) announcing its financial results for the quarter and fiscal year ended December 31, 2020. The full text of the Shareholder Letter is attached as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
