On March 23, 2020, the board of directors of Resolute Forest Products Inc. (the “Company”) approved and adopted amendments to the Company’sBy-laws, (as so amended, the “By-laws”). Section 1.1(a), section 1.3 and section 1.4 of Article I of theBy-laws have been amended to provide that the board of directors shall have the right to determine that a meeting of the Company’s stockholders be held solely by means of remote communication in the manner and to the extent permitted by the General Corporation Law of the State of Delaware.
