Item 1.01 | Entry in a Material Definitive Agreement |
On November 25, 2020, Neoleukin Therapeutics, Inc. (the “Company”) entered into a Purchase Order (the “Agreement”) with Rigaku Americas Corporation (the “Seller”) pursuant to which, subject to the terms of the Agreement, the Company will purchase a diffractometer system for the Company’s laboratory facilities at a purchase price of approximately $0.8 million. The Agreement was entered into in the ordinary course of business, but may be considered a “material contract” as defined under Item 601(b)(10)(ii)(C) of Regulation S-K under the Securities Exchange Act of 1934 because the Agreement is a contract calling for the acquisition of equipment for consideration exceeding 15% of the fixed assets of the Company on a consolidated basis.
