Item 5.07Submission of Matters to a Vote of Security Holders.


On June 12, 2020, Mersana Therapeutics, Inc. (the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”), at which a quorum was present. At the Annual Meeting, the stockholders of the Company voted on two proposals as follows: (i) to elect Lawrence M. Alleva, David Mott and Anna Protopapas, each as a Class III member of the board of directors to serve until the Company’s 2023 annual meeting of stockholders and until his or her successor is duly elected and qualified or until his or her earlier death, resignation or removal (“Proposal 1”), and (ii) to ratify the selection of Ernst & Young LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2020 (“Proposal 2”).


The Company’s stockholders approved Proposal 1. The votes cast at the Annual Meeting were as follows:
