On May 17, 2021, PDS Biotechnology Corporation (the “Company”) issued a press release announcing its receipt of $4.5 million from the net sale of tax benefits to an unrelated, profitable New Jersey corporation pursuant to the Company’s participation in the New Jersey Technology Business Tax Certificate Transfer Net Operating Loss program for State Fiscal Year 2020. The Company is filing a copy of the press release, which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
