Item 8.01 Other Events
On July 13, 2022, Flywheel Advanced Technology, Inc. (the “Company”) was advised by FINRA that the 1:100 reverse stock split of the Company’s common stock would become effective on July 14, 2022. As of July 14, 2022, the 1:100 reverse stock split of the Company’s common stock became effective. Following the effectiveness of the reverse stock split, there are currently 1,551,550 shares of common stock issued and outstanding as compared to 155,155,000 shares of the Company’s common stock issued and outstanding prior to the reverse stock split.
The Company was also informed by FINRA that the ticker symbol will change 20 days after the reverse split. The new CUSIP of the Company’s common stock is 69806B205. As previously disclosed by the Company on a Current Report on Form 8-K filed December 8, 2021, the name change was filed with the Secretary of State of the State of Nevada and is attached as an exhibit to the Form 10-Q for the quarter ended March 31, 2022 filed by the Company with the Securities and Exchange Commission on May 13, 2022.
