EXPLANATORY NOTE
This Current Report on Form 8-K/A (this “Amended Form 8-K”) amends the Current Report on Form 8-K (the “Original Form 8-K”) filed by Spirit of Texas Bancshares, Inc. (the “Company”) on October 20, 2020. On October 20, 2020, the Company issued a press release (the “Press Release”) announcing its financial results for the third quarter ended September 30, 2020, which Press Release was furnished as Exhibit 99.1 to the Original Form 8-K. The unaudited financial tables at the end of the Press Release were inadvertently omitted from Exhibit 99.1 to the Original Form 8-K. The sole purpose of this Amended Form 8-K is to include the unaudited financial tables at the end of the Press Release, which is being furnished as Exhibit 99.1 to this Form 8-K/A. No other changes to the Original Form 8-K have been made.
Item 2.02 | Results of Operations and Financial Condition |
On October 20, 2020, Spirit of Texas Bancshares, Inc. (the “Company”) issued a press release announcing its financial results for the third quarter ended September 30, 2020. The press release also announced (x) the entry by the Company’s wholly-owned subsidiary, Spirit of Texas Bank, SSB (the “Bank”), into a Branch Purchase and Assumption Agreement with First State Bank, pursuant to which First State Bank will purchase certain assets and assume certain liabilities (the “Jacksboro Branch Sale”) associated with the Bank’s branch located at 1220 North Main Street, Jacksboro, Texas 76458 (the “Jacksboro Branch”) and (y) the closing of the Bank’s previously announced sale of its branch located at 1010 Bay Area Boulevard, Houston, Texas 77058 to Moody National Bank (the “Clear Lake Branch Sale” and together with the Jacksboro Branch Sale, the “Branch Sales”). A copy of the Company’s press release covering such announcement and certain other matters is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
