ITEM 1.01 ENTRY INTO A DEFINITIVE MATERIAL AGREEMENT
On February 14, 2020, Integrity Applications, Inc. (the “Company”) entered into a Securities Purchase Agreement and Registration Rights Agreement (collectively, the “Agreements”) with an accredited investor, pursuant to which the accredited investor purchased 37,500,000 shares of the Company’s common stock, par value $0.001 per share, for an aggregate gross purchase price of $15,000,000. The Agreements contain industry standard representations and warranties and contain covenants that the Company must file a resale registration statement within 90 days of closing which must be effective within 120 days from the date of filing.
The closing of the transactions contemplated by the Agreements was consummated on February 14, 2020, and the Shares were issued restricted as to resale in a transaction exempt from registration under Section 4(a)(2) of the Securities Act of 1933, as amended, and Rule 506 of Regulation D, promulgated under the Securities Act of 1933, as amended.
