On May 9, 2021, Bonanza Creek Energy, Inc., a Delaware corporation (“BCEI”), Raptor Eagle Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of BCEI, and Extraction Oil & Gas, Inc., a Delaware corporation (“XOG”), entered into an Agreement and Plan of Merger (the “Merger Agreement”), providing for a merger of equals between BCEI and XOG.
On May 10, 2021, BCEI and XOG issued a joint press release announcing the execution of the Merger Agreement and will hold a conference call with investors to discuss the proposed Merger (as defined below). A copy of each of the press release and the presentation to be used in connection with the investor conference call are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, and each are incorporated by reference into this Item 7.01.
