Item 8.01 Other Events.
On February 26, 2020, Bandwidth Inc. issued a press release announcing that on February 25, 2020, it priced its proposed private offering of $350 million principal amount of 0.250% convertible senior notes due 2026 (the “Notes”) pursuant to Rule 144A under the Securities Act of 1933, as amended. The size of the offering was increased from the previously announced $300 million aggregate principal amount of Notes. The sale of the Notes to the initial purchasers is expected to settle on February 28, 2020, subject to customary closing conditions. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
