Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard;
Transfer of Listing.
As previously disclosed, on October 30, 2020, Pacific Drilling S.A. and certain of its direct and indirect wholly-owned subsidiaries (collectively, the “Company”) filed voluntary petitions for reorganization under Chapter 11 of the Bankruptcy Code (the “Chapter 11 Cases”) in the United States Bankruptcy Court for the Southern District of Texas, Houston Division. On November 2, 2020, the Company was notified by the New York Stock Exchange (the “NYSE”) that, as a result of the Chapter 11 Cases, and in accordance with Section 802.01D of the NYSE Listed Company Manual, the NYSE has commenced proceedings to delist the Company’s common shares from the NYSE. The NYSE also indefinitely suspended trading of the Company’s Common Shares effective November 2, 2020. The NYSE will apply to the Securities and Exchange Commission to delist the Common Shares upon completion of all applicable procedures.
The Company does not intend to appeal the determination and, therefore, it is expected that the Common Shares will be delisted.
