Item 1.01. Entry into a Material Definitive Agreement.
Amended and Restated Equity Purchase Agreement
On March 3, 2021, Franchise Group Newco PSP, LLC (“Purchaser”), a Delaware limited liability company and a subsidiary of Franchise Group, Inc., a Delaware corporation (the “Company”), entered into an Amended and Restated Equity Purchase Agreement (the “A&R Equity Purchase Agreement”) with (i) PSP Holdings, LLC, a Delaware limited liability company (“PSP Holdings”), (ii) Sentinel Capital Partners VI-A, L.P., a Delaware limited partnership (“Blocker Owner”), (iii) Sentinel PSP Blocker, Inc., a Delaware corporation (“Blocker Corp”), (iv) PSP Midco, LLC, a Delaware limited liability company (“PSP Midco” and, together with its direct and indirect subsidiaries, collectively, “PSP”), (v) PSP Intermediate, LLC, a Delaware limited liability company (“PSP Intermediate”), (vi) Sentinel Capital Partners, L.L.C., a Delaware limited liability company (“Sentinel”), solely for purposes of agreeing to the covenants set forth in Section 6.8 and Section 6.9 of the A&R Equity Purchase Agreement, (vii) PSP Midco Holdings, LLC, a Delaware limited liability company (“Midco Holdings”, and subject to the provisions of the A&R Equity Purchase Agreement, each of PSP Holdings, PSP Intermediate and Midco Holdings, a “Seller”), and (viii) the Company, solely for purposes of agreeing to the covenants set forth in Section 10.19 of the A&R Equity Purchase Agreement, pursuant to which, among other things, Purchaser will acquire all of the outstanding equity interests of PSP Midco (the “Transaction”).
The A&R Equity Purchase Agreement amends that certain Equity Purchase Agreement, dated January 23, 2021 (the “Original Equity Purchase Agreement”), entered into by Purchaser with each PSP Holdings, Blocker Owner, Blocker Corp, PSP Midco, PSP Intermediate, Sentinel, solely for purposes of agreeing to the covenants set forth in Section 6.8 and Section 6.9 of the Original Equity Purchase Agreement, and the Company, solely for the purposes of agreeing to the covenants set forth in Section 10.19 of the Original Equity Purchase Agreement, to, among other things, (i) reflect the joinder of Midco Holdings, which was formed after the date of the Original Equity Purchase Agreement, as a party to, and a “Seller” under, the A&R Equity Purchase Agreement, (ii) in accordance with the terms and provisions of the Original Equity Purchase Agreement, give effect to the election (the “Blocker Retention Election”), timely delivered by Sellers to Purchaser on February 11, 2021, to exclude the sale of all of the outstanding equity interests of Blocker Corp from the Transaction and effectuate the Transaction as a sale of all of the outstanding equity interests of PSP Midco directly by Midco Holdings to Purchaser, and (iii) provide that the earliest date upon which the closing of the Transaction can occur under the A&R Equity Purchase Agreement shall be March 10, 2021.
