Item 2.02.

Results of Operations and Financial Condition.

On May 5, 2021, Amplify Energy Corp., a Delaware corporation (the “Company”), issued a press release reporting the Company’s financial and operating results for the first quarter ended March 31, 2021. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Regulation FD Disclosure.

On May 5, 2021, the Company issued a press release reaffirming its full-year 2021 guidance. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On May 5, 2021, the Company posted to its website an update to its hedging overview presentation entitled “Supplemental Presentation — Commodity and Interest Rate Hedging.” The updated hedging presentation includes hedging transactions with respect to the period from April 2021 through December 2022, and may be accessed by going to the Company’s Investor Relations website at https://www.amplifyenergy.com/investor-relations and selecting Events and Presentations.
