Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

The following amendment to the Bylaws of Brazil Minerals, Inc. (the "Company") were approved by its Board of Directors:

 

A new Article XIV was added which states:

 

“The Corporation is prohibited from issuing to a third-party any convertible loan, note, or debt in which the conversion price decreases if the price of the common stock of the Corporation decreases.”

 

As a result of the foregoing amendments, the Bylaws have been restated and a copy of the Amended and Restated Bylaws is filed herewith as Exhibit 3.1.
