Item 3.02 | Unregistered Sales of Equity Securities. |
On August 7, 2023, Compass, Inc. (the “Company”) entered into a definitive asset purchase agreement to acquire certain non-brokerage assets from a Canadian real estate proptech company (the “Assets Purchase Transaction”). Consideration for the Asset Purchase Transaction will be payable in shares of the Company’s Class A common stock to be issued at closing on or about August 24, 2023. The number of shares to be issued will be calculated by dividing $32.4 million by a price per share equal to the greater of (i) volume-weighted average price (“VWAP”) of the Company’s Class A common stock over 4 consecutive trading days up to and including August 11, 2023 and (ii) VWAP of the Company’s Class A common stock over 10 consecutive trading days up to and including August 21, 2023.
Additionally, on August 7, 2023, the Company entered into a definitive agreement to issue 148,042 shares of the Company's Class A common stock on or about August 21, 2023 to certain former owners of a previously acquired business in lieu of certain cash holdback payments related to the prior acquisition in the aggregate amount of approximately $0.6 million.
The shares will be issued in reliance upon the exemption from the registration requirements of the Securities Act of 1933, as amended, (the “Securities Act”) pursuant to Section 4(a)(2) of the Securities Act as sales by the Company not involving any public offering. The Company’s reliance upon Section 4(a)(2) of the Securities Act was based upon the following factors: (a) the issuances of the shares were isolated private transactions by the Company that did not involve a public offering, (b) there was a limited number of recipients and (c) representations from the recipients to support such exemption, including with respect to their status as an “accredited investor” (as that term is defined in Rule 501(a) of Regulation D promulgated under Section 4(a)(2) of the Securities Act).
