Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Robert M. Winslow resigned from the board of directors (the “Board”) of Carter Validus Mission Critical REIT II, Inc. (the “Company”), effective April 24, 2020. Mr. Winslow’s resignation was not a result of any disagreement with the Board or the Company on any matter relating to the Company’s operations, policies or practices. As a result of Mr. Winslow’s resignation, the Board reduced its size so that it now has six members, four of whom are independent directors.
