Submission of Matters to a Vote of Security Holders.

On June 1, 2021, Vince Holding Corp. (the “Company”) held its 2021 annual meeting of stockholders (the “Annual Meeting”). The proposals submitted to a stockholder vote at the Annual Meeting are described in the Company’s definitive proxy statement (the “Proxy Statement”) filed with the Securities and Exchange Commission (the “SEC”) on April 30, 2021. The results of such stockholder vote are set forth below:
