Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Effective May 1, 2022, the Board appointed Dorri McWhorter to serve as a member of the Board of Directors (the “Board”) of NexPoint Capital, Inc. (the “Company”). Ms. McWhorter, age 48, has served as President & CEO of YMCA of Metropolitan Chicago since 2021. Previously, Ms. McWhorter served as Chief Executive Officer of YWCA Metropolitan Chicago from 2013 to 2021 and a Partner at Crowe LLP from 2008 to 2013. In addition, Ms. McWhorter has served as a Member of the Financial Accounting Standards Advisory Council since 2021.
Ms. McWhorter will receive compensation for her Board service in accordance with the Company’s standard compensation arrangements for non-employee directors, which are described in the Company’s definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on April 27, 2022.
There is no arrangement or understanding between Ms. McWhorter and any other person pursuant to which Ms. McWhorter was appointed as a director, and there are no reportable transactions under Item 404(a) of Regulation S-K with respect to Ms. McWhorter.
