Exhibit 99.1 Excerpts from Transcript of IHS Markit Ltd. Information Services Town Hall, posted internally on February 5, 2021
0.56: To the business at hand, I’ll start today with a recap of how we finished 2020, it already seems like a long time ago, especially with the number of significant announcements we’ve made, especially over the last couple of months. The biggest new of course is S&P, which I’ll touch on in a few minutes. We also announced our partnership with CME...
8.32: Before I turn it over to the rest of the team for the main event, I just want to take a few minutes to talk about S&P. I am conscious of the fact that we haven’t communicated too much as of yet and people might, rightfully I suppose, be anxious about what the future might bring, especially in light of fairly limited amount of information that has been shared to date.
I would say that rest assured that any perceived lack of communication is simply because not too much has happened yet. Hopefully you all saw the note from Jonathan Gear yesterday and I think that lays it out to a t and really summarise the status pretty well.
9.11: Accenture has been engaged, very busy over the course of January, really devising a plan for roughly the next six months or so, as we wait for regulatory approval. Obviously we are limited in what we can do but nonetheless integration planning did officially kick off, only last Friday. We are just organising some high level information sharing sessions.
A really the objective there from a Market Intelligence and Financial Services perspective is to help us better understand the scope of S&P’s Market Intelligence business and to help them better understand our Financial Services division. So, the next month will really entail discovery so that we can really start to validate and update synergy assumptions and we can start think about if and how and where businesses can come together. So some of us will get more heavily involved, myself included, but really our overarching goal is to insulate most people at this point. So if you are not involved, don’t feel slighted, it is somewhat by design and somewhat intentional because what really most important is that all our teams and all of you are patient and staying focused on BAU. We have a huge year to deliver yet again, irrespective of what happens with S&P.
I’ll wrap by saying that as it relates S&P, the more I learn, the more apparent it becomes that the combination will be will a really powerful one. It will offer a lot of opportunities for us to combine products, build more and ultimately deliver more for our customers. Stay patient and stay tuned.
With that I will turn it over to Lynda and the team to talk about wellness...
54:35: One other question that was in here and maybe this is a good, if there aren’t any other, a good one to potentially wrap on is: What has been the customer feedback around the S&P transaction.
I would say that there are a few angles to this I think. On the surface, I think customers fully understand and appreciate it and the rationale makes a lot of sense and the combination makes a lot of sense. One thing that puts us on the map in a very big way is now we will be the, we will be a strategic supplier if we weren’t already to virtually all of our customers. The combination of the way customers use us plus S&P, purely from a spend perspective puts us at the top supplier in most of our accounts. That comes with it significant amount of responsibility but it also gives us an audience that perhaps we haven’t enjoyed before. I would say that generally customers are excited in terms of what we might be able to further in
infuse into S&P around our approach to innovation and how we approach customers and our culture in general. I would say that the one maybe question mark that customers have and the one area of concern is that they want assurance that we are not going to unreasonably increase their prices in some point in the future when the deal closers and take advantage of that position. I think we can give them, and have given them quite strong assurance because reality is that most, if not all of our products operates in very competitive markets, customers have choice, so if we do something from a price perspective that customers aren’t happy with, we do have competition and we are always trying to manage that competition. More to come but I think generally good feedback and some concerns that we are trying to manage.
