Item 2.02. Results of Operations and Financial Condition.
On May 4, 2021, CB Financial Services, Inc. (the "Company") issued a press release announcing its financial results for the three months ended March 31, 2021, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
Item 7.01. Regulation FD Disclosure.
John H. Montgomery, President and Chief Executive Officer of the Company and Community Bank (the “Bank”), Ralph Burchianti, Senior Executive Vice President & Chief Credit Officer of the Bank, and Jamie L. Prah, Executive Vice President and Chief Financial Officer of the Company and the Bank, will meet with investors at the D.A. Davidson 23rd Annual Financial Institutions Virtual Conference on May 5-6, 2021. A copy of the investor presentation to be used at the meeting is furnished herewith as Exhibit 99.2 and is incorporated herein by reference.
Item 8.01. Other Events.
On May 4, 2021, the Company announced that its Board of Directors declared a cash dividend on the Company's outstanding shares of common stock. The dividend of $0.24 per share will be paid on or about June 1, 2021 to stockholders of record as of the close of business on May 21, 2021. A copy of the press release announcing the cash dividend is included as Exhibit 99.1 and incorporated herein by reference.
