PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Northern Power Systems Corp. (the “Company”) has determined that it is unable to file its annual report on Form 10-K for the year ended December 31, 2015 within the prescribed time period without unreasonable effort or expense.
The Company, with its independent registered public accounting firm, RSM US LLP (f/k/a McGladrey LLP) (“RSM”), is in the process of analyzing the timing of the recording of certain accounting transactions. The Company believes that the treatment of these transactions will have no impact on the Company’s cash flow, cash balance or overall book of business. The Company is not able to complete its financial statements for the year ended December 31, 2015 until such analysis is concluded. As a result, RSM has not been able to complete the audit of the financial statements as of and for the year ended December 31, 2015. The Company is unable to file the annual report timely without unreasonable effort or expense.
As a result, at this time, the Company does not believe that it will be in a position to file its annual report on Form 10-K for the year ended December 31, 2015 within the extension period provided by Rule 12b-25. The Company is working diligently with its auditors, and will file as soon as it is able, but no later than May 30, 2016.
