On October 29, 2021, Cushman & Wakefield plc (the “Company”) issued a press release announcing that it had closed its previously announced strategic investment of $150 million in WeWork Inc. (“WeWork”). Pursuant to a Backstop Subscription Agreement, a wholly-owned subsidiary of the Company purchased 15 million shares of Class A common stock of WeWork at the closing of WeWork’s business combination with BowX Acquisition Corp at a price of $10 per share. A copy of the press release is attached as Exhibit 99.1 and incorporated by reference herein.
