The 2021 Plan provides that the number of shares reserved and available for issuance under the 2021 Plan will automatically increase each January 1, beginning on January 1, 2022, by an amount such that the number of shares reserved and available for issuance under the 2021 Plan will equal 10% of the issued and outstanding number of ordinary shares and common shares on each such January 1. |

Pursuant to the 2021 Plan, the option exercise price of each option will be determined by the 2021 Plan administrator, but for options granted to participants located in the United States, subject to certain exceptions, the option exercise price may not be less than 100% of the fair market value of a common share on the date of grant (and may not be less than 110% of the fair market value of common shares on the date of grant with respect to incentive share options granted to any employee who owns or is deemed to own more than 10% of the combined voting power of all of the Company’s classes of such shares as of the date of grant). |

The 2021 ESPP provides that the number of shares reserved and available for issuance under the 2021 ESPP will automatically increase on each January 1, beginning on January 1, 2022, by an amount equal to the lesser of (i) 50,000,000 common shares, and (ii) a number of common shares reflecting 5% of the Company’s fully diluted share capital as of such date. |
