Explanatory Note

This Current Report on Form 8-K/A is being filed as an amendment (this “Amendment No. 1”) to the Current Report on Form 8-K filed by PQ Group Holdings Inc. (the “Company”) with the Securities and Exchange Commission on March 5, 2020 (the “Original Report”). This Amendment No. 1 is being filed to update the effective date of Kimberly Ross’s resignation from the Company’s Board of Directors. Except as set forth herein, this Amendment No. 1 does not amend, modify or update the disclosure contained in the Original Report.

Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously reported, on February 29, 2020, Kimberly Ross notified the Company that she would resign from the Company’s Board of Directors effective as of the close of business on April 30, 2020 as a result of her accepting the position as Chief Financial Officer of WeWork, a space-as-a-service platform. Ms. Ross and the Company’s Board of Directors have jointly decided to extend the effective date of Ms. Ross’s resignation to May 31, 2020.
