Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 29, 2021, the Board of Directors (the “Board”) of Avantor, Inc. (the “Company”), upon the recommendation of its independent directors and its Nominating and Governance Committee, appointed current director Jonathan Peacock as its first Lead Independent Director, effective immediately. In accordance with the Company’s Corporate Governance Guidelines, Mr. Peacock will serve in such capacity for a minimum of one year. Mr. Peacock will also be entitled to an additional retainer in the amount of $40,000 per annum for his service in this role.
