Eidos Therapeutics, Inc. Amended and Restated 2018 Stock Option and Incentive Plan
On May 27, 2020, at the 2020 Annual Meeting of Stockholders (the “Annual Meeting”) of Eidos Therapeutics, Inc. (the “Company”), the stockholders of the Company approved an amendment and restatement of the Company’s Amended and Restated 2018 Stock Option and Incentive Plan (the “2018 Plan”) to, among other things, increase the number of shares of common stock reserved for issuance thereunder by 1,500,000 shares.
A detailed summary of the material features of the 2018 Plan is set forth in the Company’s definitive proxy statement for the Annual Meeting filed with the Securities and Exchange Commission on April 24, 2020 (the “Proxy Statement”). That summary is qualified in its entirety by reference to the text of the 2018 Plan, which is filed as Exhibit A to the Proxy Statement and is incorporated herein by reference.

The proposals set forth below were submitted to the stockholders at the Annual Meeting held on May 27, 2020, with each such proposal described in the Proxy Statement.
The number of shares of common stock entitled to vote at the Annual Meeting was 38,528,841. The number of shares of common stock present or represented by valid proxy at the Annual Meeting was 34,975,470. The number of votes cast for and against and the number of abstentions and broker non-votes with respect to each proposal voted upon are set forth below.
Proposal 1 – Election of Directors
The Company’s stockholders elected the six (6) director nominees below to the Company’s Board of Directors to hold office until the 2021 Annual Meeting of Stockholders of the Company or until their successors are duly elected and qualified.
