EXPLANATORY NOTE
This Amendment No. 8 to the Registration Statement on Form F-1 (File No. 333-230170) of Happiness Biotech Group Limited is being filed for the sole purpose of filing Exhibit 8.1 and Exhibit 23.4. Accordingly, Part I, the form of prospectus, has been omitted from this filing.

Item 6. Indemnification of Directors and Officers
Our M&A provides that the Company shall indemnify against all expenses, including legal fees, and against all judgments, fines and amounts paid in settlement and reasonably incurred in connection with legal, administrative or investigative proceedings any person who is a director of the Company or a party in a legal proceeding by reason of the fact that the person is or was a director of the Company. According to our M&A, the indemnity only applies if the person acts honestly and in good faith with a view to the best interests of the Company and in the case of criminal proceedings, the person has no reasonable cause to believe that his or her conduct was unlawful.
Item 7. Recent Sales of Unregistered Securities
During the past three years, we have issued the following securities. We believe that each of the following issuances was exempt from registration under the Securities Act in reliance on Regulation S under the Securities Act regarding sales by an issuer in offshore transactions or pursuant to Section 4(a)(2) of the Securities Act regarding transactions not involving a public offering. No underwriters were involved in these issuances of securities. We believe that our issuances of share awards to our employees, officers and consultants were exempt from registration under the Securities Act in reliance on Rule 701 under the Securities Act.
On May 21, 2018, we issued an aggregate of 50,000 Ordinary Shares to 15 founders who are either the equity owners of Happiness Fujian (“Happiness Fujian Shareholders”) or their designed recipients. Happiness Fujian Shareholders transferred their 100% ownership interests in Happiness Fujian to Happiness Nanping via certain share purchase agreements in exchange for the issuance of 50,000 Ordinary Shares of Happiness Biotech to them or their designees.
On March 4, 2019, the Company subdivided its 50,000 ordinary shares into 100,000,000 ordinary shares. The authorized ordinary shares became 100,000,000 shares and the par value changed from $1 to $0.0005. On the same day, the Company cancelled 77,223,100 ordinary shares and sold additional 223,100 ordinary shares at their par value of $111.55. Currently, the Company has 23,000,000 ordinary shares issued and outstanding. The Company has retrospectively reflected the stock subdivision and cancellation in all periods presented in this document.
