Item 2.02    Results of Operations and Financial Condition.

On January 28, 2021, Eastern Bankshares, Inc., a Massachusetts corporation (the “Company”) and the holding company for Eastern Bank, issued a press release announcing its earnings for the quarter ended December 31, 2020. Additionally, the Company announced the approval by its Board of Directors of a regular quarterly cash dividend of $0.06 per share payable on March 15, 2021 to stockholders of record on March 3, 2021. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

Item 7.01    Regulation FD Disclosure.

In connection with the press release announcing the Company's earnings for the quarter ended December 31, 2020, the Company posted an investor presentation in the “Presentations” section of the Company’s investor relations website at investor.easternbank.com. A copy of the presentation is furnished herewith as Exhibit 99.2 and is incorporated herein by reference.

Item 8.01    Other Events.

Additionally, on January 28, 2021, the Company announced that its annual meeting of shareholders will be held on Monday, May 17, 2021 at 12:00 P.M. Eastern Time. The annual meeting will be held at the Company's offices at 265 Franklin Street, Boston, Massachusetts and over the internet in a virtual meeting format. The date for determining the Company’s shareholders of record for the annual meeting is Monday, March 12, 2021. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
