Item7.01. Regulation FD Disclosure.

 

On April 14, 2021, Astra Space, Inc. (“Astra”) hosted a virtual Analyst Day consisting of presentations from the leadership teams of Astra and Holicity Inc. (the “Company”) in connection with the proposed business combination between Astra and the Company (the “Business Combination”). A copy of the transcript for the call, a transcript of the question and answer session, and a copy of the Analyst Day presentation are attached hereto as Exhibits 99.1, 99.2 and 99.3, respectively, and incorporated by reference herein.

 

The information in this Item 7.01, including Exhibits 99.1, 99.2 and 99.3, is furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to liabilities under that section, and shall not be deemed to be incorporated by reference into the filings of the Company under the Securities Act of 1933, as amended (the “Securities Act”), or the Exchange Act, regardless of any general incorporation language in such filings.
