Item 5.07. Submission of Matters to a Vote of Security Holders.

On June 1, 2022, the SL Investment Corp. (the "Company") held its 2022 Annual Meeting of Stockholders (the “Annual Meeting”). As of April 4, 2023, the record date for the Annual Meeting, there were 20,244,074.681 shares of common stock of the Company and 521 shares of preferred stock of the Company outstanding and entitled to vote. 20,244,073 shares of common stock of the Company and 521 shares of preferred stock of the Company were present or represented by proxy at the Annual Meeting, constituting a quorum.

The final voting results for each of the proposals submitted to a vote of stockholders at the Annual Meeting are set forth below. Each proposal was approved by the requisite vote.

Proposal 1. To elect two directors:

(a) Mr. Bruce D. Frank, to be voted upon by holders of the outstanding shares of the Company’s common stock and preferred stock, voting together as a single class, to serve for a three-year term until his successor has been elected and qualified or until his earlier resignation, removal, death or incapacity; and

(b) Mr. Adam Metz, to be voted upon by holders of the outstanding shares of the Company’s common stock and preferred stock, voting together as a single class, to serve for a three-year term until his successor has been elected and qualified or until his earlier resignation, removal, death or incapacity:
