Item 8.01 Other Events.
On October 12, 2021, FREYR Battery issued a press release announcing the formation of a joint venture on October 8, 2021 with Koch Strategic Platforms (“KSP”) to advance the development of clean battery cell manufacturing in the United States. The joint venture has secured a license from 24M Technologies, Inc. (“24M”) to deploy 24M’s SemiSolidTM platform technology. In conjunction, KSP and FREYR Battery have invested $70 million in convertible promissory notes with 24M, under which KSP and FREYR will invest $50 million and $20 million, respectively. A copy of the press release is attached hereto as Exhibit 99.1.
