”), is filing these post-effective amendments (these “

”) to the following Registration Statements on Form S-8 (each, a “

On April 19, 2024, the Company announced its intention to voluntarily delist its Class A Common Stock from
the Nasdaq Stock Market LLC (“
Nasdaq
”) and to deregister its Class A Common Stock under Section 12(b) of the
Securities Exchange Act of 1934, as amended (the “
Exchange Act
”). On April 29, 2024, the Company filed a Form
25 with the SEC to remove its Class A Common Stock from listing and registration on Nasdaq. Following the
effectiveness of the Form 25, the Company intends to file a Form 15 with the SEC to suspend its reporting obligations
under the Exchange Act.
In connection with the Company’s voluntary decision to delist and deregister its Class A Common Stock, by filing
these Post-Effective Amendments, the Company has terminated any and all offerings of its securities pursuant to the
Registration Statements. Accordingly, the Company hereby terminates the effectiveness of each Registration
Statement and, in accordance with an undertaking made by the Company in Part II of each Registration Statement to
remove from registration, by means of post-effective amendment, removes from registration any and all securities of
the Company registered for issuance but remain unsold or otherwise unissued under the Registration Statements as of
the date hereof.
