Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously disclosed, Nova Vision Acquisition Corp. (the “Company”) received a notice from the staff of the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that, unless the Company timely requested a hearing before the Nasdaq Hearings Panel (the “Panel”) by 4:00 p.m. Eastern Time on March 5, 2024, the Company’s securities (units, ordinary shares, warrants, and rights) would be subject to suspension and delisting from The Nasdaq Capital Market at the opening of business on March 7, 2024, due to the Company’s non-compliance with Nasdaq Listing Rule 5550(a)(3), which requires that a company that has its primary equity security listed on the Nasdaq Capital Market must have at least 300 public holders. The Company timely requested a hearing, which resulted a stay of any suspension or delisting action pending the hearing. The hearing was held on April 30, 2024.
On May 9, 2024, the Company received a letter from the Panel indicating that, given that the Company has regained compliance with the Nasdaq Listing Rule 5550(a)(3), the Panel has determined to continue the Company’s listing and closes this matter.
